Negotiate and manage high-volume pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. Serve as the primary legal contact for investment fund and asset manager clients, maintain contract playbooks, mentor junior lawyers and paralegals, and help improve Carta’s AI-backed legal technology suite.

Manage early-stage venture financing transactions for founders and venture capital funds, including term sheets, diligence, negotiations, signing, and post-closing work. Review and negotiate SAFEs, convertible notes, and priced-round agreements while advising on cap table, governance, and corporate matters. Supervise paralegals, develop deal playbooks, build client relationships, support business development, and partner with technology teams to improve AI-enabled legal workflows.

Own complex KYC engagements from intake through resolution, reviewing documentation and entity structures for AML and KYC compliance across US, UK, and EU regimes. Maintain accurate records, resolve issues, monitor regulatory changes, communicate with clients and counterparties, and escalate appropriately. The role also mentors junior analysts, improves processes, and supports high-volume compliance operations involving private markets and offshore jurisdictions.

Participate in a 12-month rotational program supporting 409A valuations, tax reporting, fund implementations, and portfolio data collection. Use AI tools, scripting, and CLI workflows to automate financial processes, identify workflow inefficiencies, provide product/engineering feedback, and develop repeatable systems while building expertise in private markets and Carta's ERP vision.

Provide technical customer support for private equity clients using the Carta platform. Diagnose complex cap table and platform issues, read logs and error traces, reconcile cap tables, support equity projects, conduct training, and manage urgent cases. Use AI tools, command-line interfaces, and basic scripting to investigate and resolve recurring problems. Act as a subject matter expert, improve support processes, and collaborate cross-functionally to increase customer satisfaction and adoption.

Sell Carta Law to legal services and fund management clients by owning full sales cycles, prospecting outbound, influencing C-suite legal and finance decision-makers, closing complex multi-stakeholder deals, and acting as a customer advocate to drive revenue growth within legal services and fund administration markets.

Own outbound prospecting to build top-of-funnel pipeline for Carta Law by researching targets, booking qualified meetings, maintaining CRM hygiene, preparing sales collateral, and monitoring market trends. Collaborate with Sales Directors and SDRs to convert outreach into qualified opportunities.

Leads customer marketing strategy and execution for Carta’s Cap Table business, focusing on upsell, cross-sell, retention, and product adoption. Designs multi-channel campaigns across email, in-product experiences, events, paid social, and outbound marketing. Uses customer insights, data, AI, ABM, personalization, and automation to identify expansion opportunities, improve targeting, and scale campaign execution. Partners cross-functionally with Product, Sales, Customer Success, Lifecycle, Marketing Operations, Engineering, and Product Marketing.

Leads product marketing and go-to-market enablement for private-market finance products. Develops sales assets, segment messaging, outbound strategies, campaigns, launch plans, and customer expansion plays. Partners with Sales, Marketing, Creative, Enablement, Operations, and Product teams to improve pipeline, support launches, analyze performance, gather customer feedback, and influence the product roadmap. Represents Carta at customer events, internal kickoffs, and industry conferences.

Supports lawyers with first-round markups of NDAs and commercial contracts, manages document lifecycles and deadlines, communicates with counterparties, and assists with contract execution. Collaborates with lawyers and senior paralegals on high-volume matters while developing expertise in contracts, compliance, or funds and contributing to client account ownership.
