Pillsbury seeks a mid-level energy associate to support nuclear, fusion, and broader energy infrastructure matters. Responsibilities include drafting and negotiating commercial, procurement, development, supply, and project agreements; supporting project development, financing, regulatory, licensing, compliance, and export control matters; and managing substantive workstreams and client relationships. Candidates need a J.D. or equivalent, 3–5 years of relevant legal experience, strong transactional or regulatory skills, excellent legal writing, and admission or eligibility for the District of Columbia Bar.

Supports attorneys with corporate and securities transactions, including IPOs, mergers and acquisitions, entity formation, venture capital financings, stock option plans, and corporate governance. Maintains capitalization records, corporate records, and minute books; prepares securities filings, formation and closing documents; supports deal closings and post-closing tasks; and conducts due diligence and securities research.

Support firm Strategy & Marketing by executing business development plans for assigned practices: create and customize pitch materials, monitor news for opportunities, assist lateral partner onboarding, execute follow-up for events and thought leadership, and coordinate BD initiatives with lawyers and colleagues.

Supports accounts receivable collections from initial follow-up through resolution. Reviews aged balances, contacts clients, provides invoices and account documentation, researches payment discrepancies, documents collection activity, coordinates with attorneys and Finance personnel, escalates sensitive issues, and prepares recurring and ad hoc reports. The role requires strong Excel skills, accuracy, organization, communication, discretion, and client-service judgment.

Supports attorneys, paralegals, and legal coordinators with document preparation, filings, research, billing, expense reports, scheduling, travel arrangements, file organization, proofreading, and deadline tracking. Assists with tax forms and compliance materials while maintaining accurate physical and electronic records. Requires strong administrative, interpersonal, organizational, proofreading, and computer skills; proficiency in Microsoft Office, Excel, and PowerPoint; ability to manage a high-volume workload; and flexibility for overtime and changing office procedures.

Provide corporate and securities legal counsel for technology companies, handling M&A (public and private), financings, corporate formation, governance, compliance, and transaction management. Draft and negotiate agreements, supervise junior associates, support IPOs and SEC reporting, and work closely with entrepreneurs, VCs and emerging growth clients in a fast-paced, team-oriented environment.

Support corporate securities transactions for technology clients including IPOs, M&A, financings, and re-incorporations. Maintain capitalization records and corporate minute books, prepare and file federal and blue sky securities notices, assist with formation and closing documents, support diligence, and manage stock option plans using cap table software. Use DocuSign and MS Office; work overtime as needed.

Supports firmwide HR operations, including position requests, background checks, compliance initiatives, policy updates, employee documentation, training coordination, HR rollouts, HRIS maintenance, reporting, and surveys. Advises local offices and departments while maintaining confidentiality, data accuracy, and compliance. The role also assists with career paths, training programs, employee agreements, and HR communications.

Assist attorneys with global trademark and copyright management, filing, disputes, and maintaining client databases and communications.

The role involves managing and closing significant aviation financing transactions, providing legal advice, and drafting various agreements. The candidate should have large law firm experience and strong organizational skills.
