Contract remote corporate paralegal (1099), ~10 hours/week, responsible for drafting corporate documents, preparing and filing state entity filings, client communication, working within project workflows, maintaining confidentiality, and researching filing requirements. Requires timely, professional, detail-oriented execution.

Supports private fund and securities compliance through Blue Sky research, exemption analysis, filing preparation, and renewal management across all states. Prepares Form D, Reg D, Reg A, and employee stock option plan filings; manages EDGAR and NASAA EFD processes; tracks deadlines and offering documentation; and coordinates with attorneys, fund creators, law firms, and clients. Requires strong securities law experience, attention to detail, organizational skills, client communication, and proficiency with compliance and office software.
