Supports U.S. securities and corporate law matters for a planned publicly traded SpinCo. Responsibilities include SEC filings, proxy statements, Section 16 compliance, insider-trading controls, corporate governance, board processes, legal entity management, treasury matters, and process improvement. The role partners with Finance, Accounting, Investor Relations, HR, Treasury, and other stakeholders while coordinating recurring disclosure and governance workflows.

Lead preparation, review, negotiation, and risk assessment of manufacturing, service, SOW, and quality agreements. Act as liaison between commercial and legal teams, ensure required approvals in the contract lifecycle system, develop KPIs and training, maintain legal resources, support customer negotiations, and drive contract process improvements.

Provides legal and administrative support for corporate governance, Board administration, public company compliance, and subsidiary management. Coordinates Board and committee meetings, prepares minutes, resolutions, and corporate records, supports shareholder meeting and proxy logistics, assists with SEC filing materials and entity maintenance, and supports Treasury, Finance, employee mobility, and special corporate projects.
