Provide corporate, commercial, compliance, and cross-border legal support for a growing international AI datacenter infrastructure company. Lead entity management, corporate governance, fundraising diligence and negotiations, contract drafting and negotiation, legal operations and CLM modernization, outside counsel management, and Spanish-English document translation. Partner with executives and local counsel across multiple jurisdictions and help build scalable processes and templates.

Serve as the company's second lawyer owning commercial contracts end-to-end, privacy and data governance, vendor agreements, and legal ops. Draft and negotiate enterprise SaaS/AI agreements, build contract templates and playbooks, establish review SLAs, advise cross-functional teams, and manage outside counsel relationships.

Manage cap table and equity administration in Carta, maintain corporate governance and legal records, support entity formation and compliance across jurisdictions, assist with venture financings and investor due diligence, manage contract workflows and legal document repositories, and improve legal operations while partnering with Finance, HR, Tax, and external counsel.

Provide commercial contracting support across SaaS, licensing, services, channel and vendor agreements. Build templates, playbooks, and workflows. Advise on IP, privacy, security, and AI-related regulatory issues. Collaborate cross-functionally with sales, operations, and product; negotiate complex deals and support scaling legal operations.

Advise Global Procurement and business stakeholders on commercial matters; draft, negotiate, and manage complex procurement and sales agreements; improve contract templates, CLM processes, and AI-driven legal solutions; support cross-functional initiatives and resolve contract disputes.

Lead privacy reviews, DPIAs, TIAs, and data flow evaluations; manage customer privacy requests and DSRs; maintain RoPA and privacy documentation; administer Ketch and privacy operations; support audits and AI governance; develop training, playbooks, and metrics for global privacy compliance.

Counsel on global employment, litigation, and regulatory/privacy matters. Lead employment law projects, draft policies and agreements, manage disputes and outside counsel, conduct investigations, implement privacy and AI compliance programs, advise stakeholders, and provide training and audits to ensure legal and regulatory compliance across the company.

Research, draft, edit, and validate practitioner-facing US federal tax articles using AI tools. Ensure accuracy and currency, collaborate with data scientists, and align content with tax firm workflows and customer needs while helping build the content function.

Serve as chief legal advisor and strategic partner to the CEO and executive team. Build and lead a small legal team, negotiate and draft complex commercial, vendor, healthcare, and partnership agreements, manage corporate governance, litigation, and regulatory compliance (privacy, healthcare, AI). Lead M&A and financings, oversee IP strategy, and partner across Product, Engineering, Security, Clinical, Sales, and Finance to enable growth.
