Counsel will lead the structuring, drafting, and negotiation of complex commercial agreements supporting data center development, including supply chain, manufacturing, procurement, and technology transactions. The role manages sophisticated negotiations, oversees outside counsel, coordinates transactions across internal teams, and advises business leaders on legal and commercial risks. Candidates must hold an active law license and demonstrate strong judgment, communication, and experience handling high-stakes agreements.

Senior Commercial Counsel will support sales and alliances by structuring, drafting, negotiating, and completing complex commercial and partner transactions. The role advises management and collaborates with sales, services, and product teams; ensures agreements comply with AI, data privacy, trade, consumer protection, and industry regulations; and improves contract templates, playbooks, and policies. The position is onsite five days per week in Redwood City, California.

Maintain corporate records and entity governance for US and LATAM entities; coordinate contract signatures, repositories, deadlines, and document numbering; administer SharePoint records, legal intake workflows, reporting, retention, and legal holds; and support Finance, Tax, Insurance, Risk, Sales Engineering, Project Management, and Supply Chain with legal documentation and compliance materials.

Reviews and negotiates commercial contracts, applies client playbooks, identifies deviations, and implements fallback language. Oversees junior team members, manages document workflows and turnaround times, collaborates with global legal colleagues, and supports operational projects. Uses proprietary AI tools for document review while maintaining accountability for legal work product, and provides feedback to product and engineering teams to improve the platform.

Serves as the primary legal partner to enterprise sales and owner of the commercial contracting lifecycle. Drafts and negotiates MSAs, DPAs, BAAs, and related agreements; advises on privacy, data protection, AI contract issues, intellectual property, model training, and data governance. Balances legal risk with deal velocity, manages high contract volume, and independently drives agreements from initiation through execution in a fast-paced startup environment.

Corporate Counsel will partner with the General Counsel on M&A, strategic investments, financings, global expansion, securities matters, equity programs, governance, and public-company readiness. The role leads transactions through closing and integration, advises Finance and Operations, supports fundraising and equity administration, and builds scalable legal processes, templates, and workflows. Success requires practical, commercially focused advice in a fast-paced, global AI technology company.

Own and develop SandboxAQ’s intellectual property function, including patent portfolio strategy, invention harvesting, prosecution, lifecycle management, outside counsel oversight, freedom-to-operate analyses, trademark clearance, and trade secret programs. Partner with scientists, engineers, and business teams to protect innovations, inform product strategy, support transactions, and build scalable IP processes in a fast-growing AI-focused company.

Associate General Counsel will lead privacy and AI compliance, advise on legal ethics and regulatory developments, negotiate commercial and SaaS contracts, manage vendor and customer agreements, and support partnerships, M&A, fundraising, immigration, and visa petitions. The role will build scalable legal risk and compliance processes, collaborate with product, engineering, operations, founders, and executives, and use AI tools to automate legal workflows and contract review.

Serves as the company’s primary legal advisor and builds the legal function from the ground up. Leads enterprise commercial contracting, corporate governance, financing, strategic transactions, compliance, privacy, AI governance, intellectual property, export controls, disputes, and risk management. Establishes scalable legal processes, systems, templates, policies, and outside-counsel strategy while advising executives and the Board and partnering across Sales, Product, Engineering, Finance, Security, and People.

Manages commercial and contract alignment across EPC operations, procurement, project controls, construction, and legal teams. Reviews contract terms and change orders, supports negotiations, administers notices and claims, prepares commercial correspondence and dispute documentation, tracks contractual deadlines, manages commercial risks, and supports recoveries, diligence, governance, and executive reporting across major project agreements.
