Position Summary

Qnity is seeking a Senior Corporate Counsel focused on securities regulation and corporate governance to join our solutions oriented and business minded legal team.

The Senior Corporate Counsel will serve as a business-oriented legal advisor, counseling on issues of importance to the Company. This person will focus on securities regulation and corporate governance, as well as other assigned responsibilities. This person will also be the principal day-to-day legal advisor to the corporate Finance, Treasury and Tax functions, managing capital markets transactions and assisting with other banking and investment matters. The Senior Corporate Counsel will manage sophisticated legal matters while interacting with senior business leadership and managers around the Company. This role will report to the Associate General Counsel and Corporate Secretary and will be based at the Company’s headquarters in Wilmington, Delaware.
Essential Functions:

  • Provide legal support to the company focusing on compliance with SEC regulations and related corporate governance initiatives.

  • Assist in the preparation and review of SEC Filings (including Forms 10-K, 10-Q, 8-K, proxy statements), press releases, investor presentations, and other public disclosures.

  • Monitor and analyze regulatory developments in securities law and corporate governance and provide guidance on potential impacts to the company.

  • Collaborate with internal stakeholders, including finance, investor relations, corporate communications and compliance, to ensure consistent and accurate disclosure practices.

  • Provide legal support for other corporate matters as they arise, including supporting M&A, financings, corporate governance, and other corporate law matters.

  • Oversee domestic and international subsidiary governance.

  • Collaborate with cross-functional teams, communicate effectively, and build strong working relationships.

  • Other duties, as requested or directed by Associate General Counsel.

Education:

  • Juris Doctorate degree from an accredited law school required.

  • Licensed member and in good standing of at least one state bar and eligible for admission on motion in Delaware required.

Experience and Required Skills:

  • 6+ years’ relevant working experience, with strong training at a national or international law firm. Prior in-house experience strongly preferred.

  • Deep understanding of federal and state securities laws, corporate law and stock exchange listing requirements.

  • Extensive experience in drafting and reviewing SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements, and Section 16 filings.

  • Exceptional communication and interpersonal skills, with the ability to influence and build trust at the executive level.

  • Ability to work independently and collaboratively in a fast-paced environment.

  • Time management and organizational skills necessary to independently manage and appropriately prioritize workload, project management, and plan for resources to meet deadlines and goals.

  • Self-motivated with critical attention to detail, deadlines, and reporting.

  • Software skills, including use of Microsoft Office software and web-based applications.
