Opportunity Overview:
We are seeking a dynamic, collaborative attorney to join our Legal team as we continue to scale our commercial contracting function. As our Commercial Counsel, you will play a key role in supporting the company’s day-to-day commercial legal work, partnering closely with our Growth organization to review, draft, and negotiate a high volume of commercial agreements. This role is ideal for an attorney who enjoys commercial contracting, thrives in a fast-paced environment, and is looking to continue developing their in-house legal career.
You will work closely with the Deputy General Counsel, General Counsel, and other senior members of the Legal team to provide practical legal guidance while supporting the business through efficient, thoughtful contract review. This is an excellent opportunity to gain exposure to a broad range of legal matters over time while building a strong foundation in commercial contracting within a collaborative and growing Legal department.
What you’ll do:
- Support the company’s commercial contracting efforts by drafting, reviewing, and negotiating a high volume of customer and vendor agreements, including SaaS agreements, MSAs, SOWs, NDAs, BAAs, licensing agreements, marketing agreements, and other functional contracts
- Serve as a trusted legal partner to Sales and other cross-functional teams by providing practice, business-focused legal guidance that helps move deals forward while appropriately managing risk
- Handle routine and moderately complex commercial negotiations independently, escalating higher-risk matters when appropriate
- Partner closely with Legal team members to ensure consistent contract positions, playbooks, and negotiation strategies
- Assist in maintaining and improving contract templates, playbooks, processes, and other commercial legal resources that increase efficiency and consistency
- Support the business on data privacy, AI, and technology-related contractual provisions as needed
- Identify legal risks and escalate issues appropriately while maintaining business acumen
- Stay current on legal developments impacting commercial contracting, technology, AI, and data privacy
- Collaborate with cross-functional stakeholders across Sales, Product, Finance, Operations, Security, and other business teams to support day-to-day legal needs
- Contribute to special projects and gain exposure to broader legal matters as the department and company continue to grow
What you’ll need:
- J.D. from an accredited law school and active bar membership in good standing
- 5+ years of legal experience with significant experience drafting, reviewing, and negotiating legal contracts, preferable in-house or supporting technology companies
- Strong experience with commercial contracts, including SaaS, customer, vendor, and other technology agreements
- Ability to manage a high volume of work while balancing legal risk with business priorities
- Excellent communication skills and a practical, business-oriented approach to problem solving
- Experience partnering cross-functionally with Sales and other business teams
- A collaborative, proactive mindset with a desire to learn and grow within a scaling legal organization
- Strong organizational skills and the ability to manage competing priorities in a fast-paced environment
- Healthcare, health tech, data privacy, or AI experience is a plus, but not required

The salary range for this position is $120,000 to $135,000 annually; as part of a total benefits package which includes health insurance, 401k and bonus. In accordance with state applicable laws, Cohere is required to provide a reasonable estimate of the compensation range for this role. Individual pay decisions are ultimately based on a number of factors, including but not limited to qualifications for the role, experience level, skillset, and internal alignment.
