SVP, Senior Legal Counsel - Underwriting

The SVP, Senior Legal Counsel-Underwriting is responsible for advising the Bermuda Underwriting function on complex and bespoke reinsurance transactions and will also work closely with the Chief Counsel to identify, manage and reduce regulatory and compliance risk across the company’s reinsurance operations. The SVP, Senior Legal Counsel – Underwriting is expected to work closely with peers in the Bermuda office, as well as our U.S., U.K., and European offices, to ensure consistency of legal advice provided across our global underwriting function.

Responsibilities include:

• Function as an embedded legal counsel for the Bermuda Underwriting function and advising Bermuda-based underwriters concerning identifying, assessing, and mitigating legal, regulatory, compliance, and governance risks that may arise in the business;
•  Provide legal support to underwriters, including drafting bespoke contracts and other transaction documents, concerning:
  • assumed (re)insurance transactions involving trade and financial credit, surety bonding, political risk, project finance, mortgage, financial guarantee, and bank capital solutions;
  • complex ceded reinsurance transactions; and • collateralized reinsurance, catastrophe bonds, and other ILS products underwritten on behalf of our joint venture vehicles.
•  Work with outside counsel to proactively identify and advise underwriters on worldwide regulatory issues that may arise concerning specific transactions; and
• Work closely with the Chief Counsel, and others to advise the Company’s senior management on our legal rights and obligations concerning potential contractual disputes and any major or contentious claims, including complex cross-jurisdictional claims that may impact multiple balance sheets.

Education, Skills & Experience:

• A University degree essential with an emphasis on business, finance, or accounting.
•  A law degree from a reputable U.S.-accredited institution required.
• A minimum of fifteen years as a practicing attorney dealing with the (re)insurance industry required.
• Detailed working knowledge of the (re)insurance industry is required; experience with the ILS sector is strongly preferred.
•  Proven experience reviewing, drafting, and negotiating high-economic exposure transaction documentation in the (re)insurance industry required.
• Proven experience arbitrating/litigating (re)insurance disputes in the U.S. through hearing/trial preferred.
•  Proven track record of making independent decisions regarding complex legal and corporate issues.
•  Excellent research, writing, and analytical skills.
•  Exemplary oral and written communication skills; possess strong negotiation skills; exercise independent judgment and be able to identify and escalate risks appropriately; manage multiple projects and meet deadlines.
•  Strong project management and organizational skills, and an ability to work effectively in a team environment as well as independently.
