- Draft, review and negotiate a broad range of commercial agreements with customers, suppliers, strategic partners and other third parties in both English and Spanish.
- Serve as the primary legal advisor to the International Headquarters in Barcelona, while supporting cross-border projects and business initiatives across multiple jurisdictions.
- Provide practical, risk-based legal advice to business leaders on commercial, corporate, operational and regulatory matters.
- Support domestic and cross-border mergers, acquisitions, divestitures and strategic investments, including legal due diligence, transaction structuring, negotiation and post-closing integration.
- Advise on corporate governance matters, including corporate records, board and shareholder resolutions, statutory filings, corporate reorganizations and other strategic corporate transactions.

- Provide legal guidance on data protection and privacy matters, working closely with Privacy and Information Security teams to ensure compliance with applicable legislation.
- Manage pre-litigation matters and coordinate external counsel in litigation, arbitration and regulatory proceedings when required.
- Develop and maintain legal templates, internal policies, governance frameworks and training materials to promote legal awareness and operational excellence.
- Collaborate closely with Commercial, Finance, Human Resources, Operations, Technology, Medical, Privacy and other cross-functional teams to deliver pragmatic, business-oriented legal solutions.
- Instruct, manage and oversee external counsel across multiple jurisdictions, ensuring high-quality advice and cost-effective legal support.
- Qualified lawyer with 6–10 years of post-qualification experience, preferably gained within an international law firm and/or multinational company.
- Significant experience negotiating complex commercial agreements and advising on corporate governance, M&A transactions, compliance and data protection matters in an international environment.
- Strong understanding of corporate law, commercial law, governance, regulatory compliance and legal risk management.
- Demonstrated ability to independently manage complex legal matters while balancing legal risk with commercial objectives.
- Experience supporting mergers and acquisitions, corporate restructurings and strategic business initiatives is highly desirable.
- Experience implementing or supporting compliance programmes, internal investigations and ethics initiatives is preferred.
- Previous experience in the healthcare, life sciences, technology or other highly regulated industries is highly desirable.
- Strong business acumen with the ability to influence senior stakeholders and build trusted relationships across all levels of the organization.
