We are seeking a highly motivated, collaborative, and team-oriented attorney to support complex Corporate Treasury and Corporate Financial Transactions. This role offers the opportunity to work closely with a cross-functional legal team on a wide range of sophisticated transactions. The successful candidate will partner effectively with internal stakeholders and senior attorneys to support debt issuances, surplus note issuances, catastrophe bond issuances, credit facilities, liquidity and funding arrangements (e.g., FHLB, commercial paper), intercompany borrowings, capital movement transactions, and compliance with applicable payment laws, regulations, and network rules (e.g., Regulation E, NACHA Operating Rules, and UCC Article 3). This role will also provide meaningful exposure to complex reinsurance transactions, including assisting with their structuring, negotiation, and execution.
Key Responsibilities:
Provides legal support to senior attorneys responsible for Corporate Treasury and Corporate Financial Transactions, including debt issuances, surplus note issuances, catastrophe bond issuances, credit facilities, liquidity and funding arrangements (e.g., FHLB, commercial paper), intercompany borrowings, and capital movement transactions.
Assists with the review, drafting, and negotiation of transaction documents and related materials, including ancillary agreements, disclosures, and approvals, under the supervision of senior attorneys.
Assists senior attorneys in providing legal support for reinsurance transactions, including due diligence, transaction execution, and related documentation.
Supports regulatory filings and approvals for material financial transactions and dividends, including preparation of draft submissions and coordination with internal stakeholders and outside counsel.
Supports Corporate Treasury activities, including reviewing and maintaining banking and payment services agreements with key banking partners, and monitoring compliance with applicable payment laws, regulations, and network rules (e.g., Regulation E, NACHA Operating Rules, and UCC Article 3).
Conducts legal research and analysis on credit, funding, reinsurance, and financial regulatory matters and prepares summaries, memoranda, and recommendations for senior attorneys.
Helps identify process improvements and efficiencies related to financial transactions, regulatory support, and documentation, including supporting workflow tracking and maintaining transaction records.
Works collaboratively with internal business partners in Treasury, Finance, Reinsurance, and other functions, as well as with outside counsel, to support the timely execution of transactions.
Monitors, analyzes, and assists with the development of advocacy positions related to emerging financial and solvency regulation at both state and federal levels.
Experience: Typically, six or more years of relevant legal experience with a corporate legal department or a nationally recognized law firm. Demonstrated business acumen and ability to work effectively across functions and with diverse stakeholders. Prior experience with debt issuances, credit facilities, treasury transactions, and/or reinsurance transactions preferred.

Typical Skills and Experiences:
Education: Juris Doctorate from an American Bar Association-accredited law school.
License/Certification/Designation: Associates reporting within Nationwide’s Office of the Chief Legal Officer (OCLO) who are functioning in attorney roles must be fully licensed in accordance with OCLO policy, in good standing and in compliance with all continuing legal education requirements at all times in the state(s) in which they practice.
Experience: Typically has 15 or more years of relevant legal experience. May have management experience. Has significant experience with or knowledge of one or more areas of law, complex legal practices and procedures, project management concept and techniques.
