TP-Link is seeking an experienced and strategic Senior Counsel, Commercial, reporting to the General Counsel. This person will serve as the company's primary legal advisor to TP-Link’s sales and marketing organizations, providing day-to-day commercial counseling to the company’s retail, e-Commerce, B2B, and subscription business lines, and on commercial transactions across the company. The ideal candidate will have experience supporting commercial transactions and go-to-market activities at a technology or consumer products company, with a practical, business-first approach to legal risk. The successful candidate will embrace emerging technologies, including AI, and will be eager to identify and implement innovative ways AI can improve legal and business processes.
Key Responsibilities:
Commercial Transactions
- Lead the drafting, review, and negotiation of a broad range of commercial agreements across TP-Link’s retail, e-Commerce, B2B, subscription, distributor, reseller, and vendor channels.
- Advise on commercial structures, subscription and recurring-revenue models, and the legal risks associated with channel programs and strategic transactions.
- Develop practical contract templates, playbooks, and scalable processes that improve efficiency, consistency, and business velocity.
- Partner with Finance, Procurement, and business leaders on deal structure, pricing, approvals, and commercial strategy.
Sales
- Serve as the primary legal partner to TP-Link’s Retail, ISP Sales, B2B Channel, and B2B Sales organizations.
- Advise on relationships with retailers, ISPs, distributors, resellers, marketplace platforms, and other sales channels.
- Review, negotiate, and support customer-facing agreements and strategic sales initiatives.
- Counsel on promotions, incentives, rebates, warranties, returns, consumer protection obligations, and subscription sales programs.
- Provide practical guidance on compliance with applicable laws governing direct-to-consumer, e-Commerce, and recurring-revenue businesses.
Marketing
- Serve as the primary legal partner to TP-Link’s Marketing organization.
- Review marketing, advertising, packaging, website, social media, and product-claim materials to support effective go-to-market activities.
- Advise on advertising law, consumer protection requirements, endorsements, testimonials, and comparative advertising.
- Support marketing initiatives through negotiation of sponsorship, co-marketing, influencer, media, and agency agreements.
- Counsel on promotions, sweepstakes, contests, loyalty programs, digital advertising, brand usage, co-branding, and content licensing.
Requirements
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Member in good standing of the California state bar, either as a licensed attorney or California Registered In-House Counsel.
- 8+ years of experience as a practicing attorney, with a significant focus on commercial transactions and sales and marketing counseling in the technology or consumer products industry.
- Significant experience drafting and negotiating complex commercial agreements, including distribution, reseller, supply, SaaS, and marketplace agreements.
- Experience advising on e-Commerce, direct-to-consumer, and subscription business models.
- Strong knowledge of advertising law, FTC guidelines, and consumer protection regulations applicable to marketing and promotional activities.
- Experience providing pragmatic and actionable advice to business leadership.
- Excellent written and verbal communication skills, with the ability to effectively present complex legal issues to non-legal cross-functional teams.
- Ability to think strategically and provide pragmatic legal advice that balances legal risks with business objectives.
