Key Objective
To support the Head of Legal in advising the Board of Chubb Insurance Malaysia Berhad (the “Company”) on company secretarial matters and supporting on all corporate governance and legal matters relevant to the Company.
Major duties and responsibilities:
Company Secretarial
- Responsible for ensuring correct procedures are followed and the Company is compliant with the Company’s Constitution and any corporate governance laws, relevant legislations and guidelines applicable to it, such as Companies Act, Financial Services Act as well as relevant internal Chubb group corporate governance policies.
- Responsible for ensuring all secretarial and statutory lodgement requirements with the Registrar of Companies, Suruhanjaya Syarikat Malaysia and Bank Negara Malaysia in a timely manner and ensuring all statutory deadlines are met.
- Responsible for ensuring the completion and timely filing of the Company’s annual return and audited financial statements by the statutory deadline.
- Responsible for all aspects of administrative and company secretarial related matters including but not limited to coordination of AGM and Board meetings.
- Provide general advice on matters relating to company secretarial and corporate governance matters when required.
- Responsible for the preparing and submission of Directors’ and Country President’s appointments and reappointments with Bank Negara Malaysia.
- Liaison officer between shareholders and the Company in relation to governance and secretarial related matters as well ultimate beneficiary ownership reporting.
Legal Support
- Provide support to the Legal team on legal issues as they arise from time to time in relation to the Company.
- Draft and review agreements, such as confidentiality agreements, intercompany agreements, distribution agreements, broker agreements, vendor agreements and IT agreements.
- Assist with regular reporting requirements to Chubb’s Regional and Global teams.
- Assist with any other corporate or legal exercises as and when required.
Skills & Experience
- Well versed in all aspects of lodgement, administrative and secretarial requirements.
- Familiarity with the Companies Act, Financial Services Act and Bank Negara Malaysia
- regulations relating to secretarial and corporate governance.
- Proficiency in English and good communication and writing skills are of paramount importance.
- Good coordination / planning / organisational skills and able to meet deadlines under
- pressure, if necessary.
- Pleasant personality, able to interact with cross section of people, strong work ethic and
- positive work attitude.
- High degree of professionalism, self-motivated and proven ability to multitask and work
- independently.
- Meticulous and with a strong sense of responsibility and commitment.
- Good inter-personal skills and strong stakeholder management for liaising with directors, senior management and regulators.
Qualifications & Experience
- Qualified to practice law in Malaysia with at least 8 years of post-qualification experience in a relevant legal and/or corporate secretarial field.
- Candidate must be familiar with or who has previously worked in the insurance industry or a financial institution is preferred.
- Relevant legal qualifications. Qualifications as a Company Secretary is preferred.
Skills Required
- Minimum 8 years PQE in relevant field
- Minimum 5 years practising as a Company Secretary
- Meet the requirements for a secretary under the Companies Act
- Qualified and licensed Company Secretary with practising certificate from MAICSA, MACS or other Approved Bodies under the Fourth Schedule
- Well versed in lodgement, administrative and secretarial requirements
- Familiarity with Companies Act, Financial Services Act and Bank Negara Malaysia regulations
- Proficiency in English with strong communication and writing skills
- Strong coordination, planning and organisational skills; able to meet deadlines under pressure
- High degree of professionalism, ability to multitask and work independently
- Good interpersonal skills and maturity to liaise with directors, senior management and regulators
- Candidate with prior experience in insurance or a financial institution
- Tertiary or professional qualification
