Corporate Counsel, Corporate & Securities
Your role in helping us shape the future:
As Senior Counsel, Corporate & Securities you will provide legal support on a day-to-day basis to the following departments: Financial Reporting, Investor Relations, Treasury (in ensuring compliance with our debt covenants and related documentation), and Accounting and Tax (in structuring and documenting intercompany corporate transactions). The position will also provide legal support for the company's securities offerings and related finance transactions (including coordinating all legal due diligence documentation in coordination with our Principal, Corporate Legal Specialist), as well as assume primary responsibility for supporting our Corporate Real Estate and Facilities functions (in reviewing, negotiating and drafting office leases in our U.S. and non-U.S. jurisdictions, in coordination with outside counsel, as needed). This position reports to the Associate General Counsel, Corporate & Securities.
Are you up to the challenge?
- Prepare legal documentation relating to intercompany transactions (including internal dividends), in coordination with the Controller's group and the Tax department.
- Covenant compliance and interpretation - address management's questions about limitations imposed by the company's indentures and credit agreements, managing compliance in coordination with the Treasury department.
- Assist in the preparation and review of public disclosures and SEC reporting requirements.
- Serve as primary legal point of contact on the company's corporate real estate transactions.
- Engage and manage outside counsel as necessary in support of the above-listed functions.
- Partner with Controller's Group and our Principal, Corporate Legal Specialist in preparing or supervising preparation of legal documentation relating to board meetings and audits of numerous company subsidiaries outside of the United States.
- Manage data gathering, coordinate and maintain online due diligence data site with the assistance of the Principal, Corporate Legal Specialist.
- Provide guidance and participate on projects as requested.
- Support the Associate General Counsel, Corporate & Securities in other miscellaneous matters, including legal and strategic issues related to M&A and financing transactions, corporate governance and corporate secretarial functions.
You should definitely have:
- A Juris Doctorate from an accredited law school (ABA or foreign equivalent).
- At least three years of experience with major U.S. law firms or corporations (more experience preferred).
- Significant general corporate law experience, with previous SEC experience strongly preferred.
- Experience in advising companies with financing transactions, corporate subsidiary management, debt covenants and SEC reporting.
- Prior exposure to, or a willingness to take primary responsibility for, corporate real estate transactions.
- Strong legal skills and expert analytical, writing and organizational skills.
- The ability to work in a team and manage assignments without day-to-day supervisory direction.
- Excellent interpersonal skills and flexibility.
