Incline Insurance Group is seeking an experienced, business-minded attorney to join our legal team as a Legal Counsel. This high-impact role provides legal counsel across Incline’s property and casualty insurance operations, with a particular focus on reinsurance agreements, MGA contracts, insurance regulatory matters, and complex commercial transactions. The Legal Counsel will partner closely with executive leadership and teams across Reinsurance, Underwriting, Claims, Finance, Actuarial, and Program Management to provide practical legal guidance, negotiate critical agreements, and help manage legal and regulatory risk across a growing multi-carrier insurance organization. This role requires legal experience within a reinsurance environment.

 

What You'll Do:

As the Legal Counsel, you will serve as a trusted legal partner to leaders across the organization, with significant responsibility for reinsurance contracting, MGA agreements, insurance regulatory matters, and other commercial and legal initiatives. Responsibilities include:

Reinsurance Agreements: Draft, review, negotiate, and advise on a broad range of ceded reinsurance agreements, including quota share, excess of loss, facultative, and related agreements and documentation.

Reinsurance Legal Support: Partner closely with Incline’s Reinsurance team on new and renewal placements, treaty terms, contract interpretation, collateral provisions, claims provisions, and other legal matters arising throughout the reinsurance lifecycle.

MGA & Program Agreements: Draft, review, and negotiate MGA, program administrator, and other insurance-related commercial agreements supporting new and existing programs.

Contract Negotiation: Lead and support negotiations with MGAs, reinsurers, brokers, vendors, and other external partners while balancing commercial objectives and legal risk.

Legal Advisory Support: Provide practical, business-oriented legal guidance to executives, managers, and internal teams on insurance, contractual, regulatory, and operational matters.

Regulatory Research & Compliance: Research, interpret, and apply multi-state insurance laws, regulations, and regulatory requirements affecting Incline’s insurance operations.

Regulatory Agency Interaction: Support communications and interactions with state Departments of Insurance and other regulatory authorities.

Risk & Legal Guidance: Identify and advise leadership on legal, contractual, and regulatory risks and recommend practical solutions aligned with business objectives.

Claims & Litigation Support: Partner with Claims and external counsel on significant claims, coverage matters, litigation, and related legal issues as appropriate.

Corporate & Strategic Initiatives: Provide legal support for strategic projects, new business initiatives, and other corporate matters as needed.

Outside Counsel Management: Coordinate with and manage outside counsel on specialized matters, ensuring appropriate expertise, responsiveness, and cost effectiveness.

Legal Process Improvement: Help strengthen contract templates, legal processes, documentation standards, and other practices as the organization continues to grow.

 

What We’re Looking For:

We're seeking an experienced attorney who combines strong insurance and reinsurance expertise with sound legal judgment and a practical, business-oriented approach. The ideal candidate is comfortable operating independently, managing complex matters, and partnering directly with senior leaders and business stakeholders.

Required: Juris Doctor (J.D.) degree from an accredited law school and active license to practice law in at least one U.S. state.

Texas License: If not licensed in Texas, must be eligible to obtain appropriate authorization to practice in Texas within the required timeframe.

Experience: Minimum of 5 years of relevant legal experience, preferably within an insurance carrier, reinsurance organization, law firm insurance practice, or similar environment.

Reinsurance Experience: Prior legal experience with reinsurance is required, including drafting, reviewing, negotiating, or advising on reinsurance agreements and related matters.

Insurance Knowledge: Strong understanding of property and casualty insurance operations, contracts, and regulatory requirements.

Contract Expertise: Demonstrated experience drafting and negotiating complex commercial agreements; experience with MGA, program, or delegated authority agreements strongly preferred.

Regulatory Knowledge: Experience interpreting multi-state insurance laws and regulations and supporting regulatory compliance matters.

Business Judgment: Ability to assess legal risk within a broader commercial context and provide practical, solutions-oriented guidance.

Communication: Excellent written, verbal, negotiation, and interpersonal skills, with the ability to communicate effectively with executives and external business partners.

Mindset: Highly organized, detail-oriented, collaborative, and comfortable managing multiple complex priorities in a fast-paced environment.

This role is based in Austin, TX and operates within a hybrid work model.

Skills Required
