Overview:

What you’d be doing:
Corporate Governance:
- Assist in preparing and maintaining corporate records, including board resolutions, meeting minutes, and other governance documents.
- Support the organization of board and committee meetings, including preparing agendas and materials.
- Ensure compliance with corporate governance best practices and regulatory requirements.
- Conduct legal research on corporate governance matters and provide recommendations to senior legal staff.
Contracts:
- Assist in drafting, reviewing, and negotiating various types of contracts, including NDAs, service agreements, and vendor contracts.
- Maintain a comprehensive contracts database and ensure timely renewals and compliance with contractual obligations.
- Conduct legal research on contract law issues and provide summaries to the legal team.
- Support the development and implementation of contract management policies and procedures.
Corporate Compliance:
- Support the implementation and maintenance of corporate compliance programs.
- Assist in conducting internal audits and risk assessments to ensure compliance with applicable laws and regulations.
- Research and stay up-to-date on changes in compliance regulations and industry standards.
- Prepare compliance training materials and assist in conducting training sessions for employees.
We’re looking for someone who has:
- Current law student or recent law school graduate.
- Strong understanding of corporate governance principles, contract law, and corporate compliance.
- Excellent research, writing, and analytical skills.
- Detail-oriented with strong organizational and time management abilities.
- Ability to handle sensitive and confidential information with integrity.
- Proficiency in Microsoft Office Suite and legal research tools.
- Strong interpersonal and communication skills.
Highly preferred candidates also have:
- Previous experience in a corporate legal department or law firm.
- Knowledge of industry-specific regulations and compliance requirements.
