Our client, a top-notch home appliance company in Vietnam, is looking for a qualified candidate to join their firm.


Legal Strategy and Enterprise Risk Management
  • Develop and establish a legal risk management framework covering the entire value chain, including R&D, procurement, manufacturing, distribution, retail, and after-sales services. Build and maintain an enterprise-wide legal risk register.
  • Provide direct legal counsel to the Board of Directors and Executive Management on investment decisions, M&A transactions, corporate restructuring, and other significant business transactions.
  • Standardize and manage the Group’s legal governance system, including internal regulations, legal templates, and standard contractual clause libraries.
  • Establish legal crisis management mechanisms, coordinate external law firms, and represent the Group in major disputes, litigation, and arbitration proceedings.
  • Lead and manage the Group Legal function and provide business law training to Procurement, Sales, and Marketing teams to strengthen proactive compliance awareness.

International Contracts and Supply Chain

  • Lead negotiations of international contracts for the purchase of equipment, molds, and production lines under OEM/ODM arrangements.
  • Review and control key contractual provisions, including Incoterms, governing law, performance security mechanisms, indemnification, and supply disruption risks.
  • Conduct legal due diligence on international suppliers and logistics partners.

Distribution and Retail Legal Management

  • Standardize contractual frameworks for distributors, agents, supermarkets, retail chains, and e-commerce partners.
  • Review the legal compliance of sales policies, discount programs, promotional campaigns, and sales incentive schemes before implementation.
  • Establish credit control mechanisms in coordination with the Finance function, implement measures to secure receivables, and lead the recovery of difficult or overdue debts.

Consumer Protection and Product Incidents

  • Ensure the legal compliance of product labeling, advertising content, warranty policies, and commitments made to consumers.
  • Lead product incident response procedures and represent the Group in dealings with regulatory authorities and the media in the event of product-related crises.

Intellectual Property and Brand Protection

  • Register and manage trademarks, industrial designs, patents, and other intellectual property rights for the Group’s product portfolio in domestic and international markets.
  • Establish confidentiality mechanisms for technical drawings, molds, technical know-how, and confidential information, including confidentiality agreements with employees and business partners.
  • Coordinate with relevant authorities to address counterfeit products, imitation goods, and intellectual property infringements involving the Group’s brands.

Manufacturing Compliance

  • Monitor compliance with legal requirements relating to environmental matters, including wastewater, chemicals, and extended producer responsibility, as well as fire prevention and firefighting and occupational safety requirements.
  • Lead coordination with regulatory authorities, provide necessary explanations, and manage corrective documentation following inspections and regulatory reviews at manufacturing facilities.

Requirements
  • Bachelor’s degree or higher in Law.
  • Degree in Economic Law, Commercial Law, International Law, or a related legal discipline.
  • Lawyer Practicing Certificate is a plus.
  • At least 12 years of experience in the legal field, including a minimum of 5 years in a managerial or equivalent position such as Legal Director or Head of Legal within a large manufacturing, retail, or FMCG group.
  • Strong knowledge of Business Law, Commercial Law, Intellectual Property, and Consumer Protection regulations.
  • Proven practical experience in handling defective product crises, commercial disputes, and legal or environmental compliance matters at manufacturing facilities.
  • Proficiency in legal English.
  • Strong skills in international commercial negotiation, conflict-of-interest resolution, and legal crisis management.
  • Strong business acumen, with the ability to advise on solution-oriented decisions and balance risk control with business growth.

Skills Required
