Essential Duties & Responsibilities
The essential functions include, but are not limited to, the following:

Draft, review, negotiate, and advise on customer and commercial agreements, including master services agreements.

Draft, review, and negotiate non-disclosure agreements, confidentiality agreements, vendor agreements, supplier agreements, partner agreements, and other third-party contracts as needed.

Partner with Sales and business leaders to facilitate customer transactions while appropriately managing contractual and legal risk.

Advise on key contractual provisions, including indemnification, limitation of liability, warranties, intellectual property, confidentiality, insurance, data privacy and security, termination, and other areas of potential risk.

Provide clear, practical guidance to executive leadership and department leaders regarding contractual obligations, legal risks, and business decisions.

Develop and maintain contract templates, standard terms, negotiation guidelines, approval processes, and preferred fallback positions to improve consistency and efficiency.

Assist business teams with contract interpretation, amendments, renewals, disputes, and post-execution contractual questions.

Serve as the primary internal resource for routine corporate legal matters and identify matters requiring specialized external expertise.

Partner with Human Resources on employment-related legal matters, including employment agreements, restrictive covenants, separation agreements, employee relations matters, employment policies, and compliance questions, as needed.

Provide general guidance on intellectual property, privacy, data security, and other legal matters affecting Coreforce's technology products and operations, engaging specialized counsel when appropriate.

Select, engage, and manage outside counsel for complex or specialized legal matters; clearly define scope, expectations, budgets, timelines, and deliverables.

Review outside counsel invoices, monitor legal spend, evaluate performance and responsiveness, and hold external legal partners accountable for cost-effective and timely support.

Maintain appropriate corporate legal records and documentation and support the development of practical legal processes that enable efficient business operations.

Perform other related duties and provide legal support as assigned based on business needs.
The qualifications and competencies for this position include, but are not limited to, the following:

Juris Doctor (J.D.) from an accredited law school.

Active membership in good standing with the State Bar in Georgia and eligibility to practice law in in Georgia courts.

Five (5) or more years of relevant legal experience, including meaningful experience practicing within a law firm environment.

Strong knowledge of contract law and demonstrated experience drafting, reviewing, and negotiating commercial agreements.

Experience representing or advising software, SaaS, technology, or technology-enabled companies required.

Knowledge of software licensing, technology agreements, intellectual property, data privacy, information security, and related commercial terms preferred.

Working knowledge of employment law and experience advising on HR-related legal matters preferred.

Ability to identify, assess, and communicate legal and contractual risk and provide practical, business-oriented recommendations.

Strong legal research, analytical, drafting, negotiation, and problem-solving skills.

Sound judgment and the ability to distinguish matters that can be handled internally from those requiring specialized outside counsel.

Ability to independently manage multiple matters and priorities in a fast-paced environment while maintaining accuracy, responsiveness, and attention to detail.

Strong interpersonal and communication skills with the ability to collaborate effectively with executive leadership and cross-functional business teams.

Ability to exercise discretion and maintain confidentiality when handling sensitive business, legal, and employee information.
Skills Required
