What skills do I need? 

  • Juris Doctor (JD) required; 7+ years of relevant legal experience (with 3+ years in-house, ideally software/tech) in corporate and commercial/technology matters.
  • Strong experience leading complex contract negotiations and drafting software/SaaS agreements, vendor contracts, and NDAs.
  • Familiarity with corporate governance, entity management, equity plans, and financings (cross-border context preferred).
  • Understanding of data privacy (HIPAA, HITECH, GDPR) highly preferred; high professional ethics and integrity required.
  • Excellent written/verbal English; ability to provide clear, business-oriented recommendations to executives and internal stakeholders across jurisdictions.
  • Must be comfortable engaging with a range of global customers (SMB to Fortune 500).
  • Proven ability to drive cross-functional legal projects with business and legal teams (e.g., regulatory, product).
  • Willingness to handle matters outside primary areas; ability to quickly learn new technologies and associated legal issues.

Key Responsibilities:

Commercial & Technology Contracts

  • Draft, review, and negotiate customer, partner, and reseller agreements (MSAs, order forms, SOWs, DPAs, SLAs).
  • Advise on key risk areas (IP, data protection, liability, indemnities, payment/renewal terms) and propose practical alternatives.
  • Maintain and refine contract playbooks, templates, and NDAs.

Corporate & Entity Management

  • Support global corporate governance and entity management (board/shareholder consents, corporate records, local counsel coordination).
  • Assist with equity and incentive plans, and corporate approvals.
  • Contribute to financings and strategic transactions (document review, diligence support, advisor coordination).

Employment, Privacy & Compliance

  • Support People/HR on employment agreements and policies.
  • Support privacy and data protection initiatives (e.g., DPAs, SCCs, GDPR).
  • Assist in maintaining and communicating internal policies (code of conduct, anti-bribery, sanctions/export, information security).

Vendor, Procurement, & Legal Operations

  • Review and negotiate vendor and procurement contracts (SaaS, licenses, services).
  • Partner with business owners (IT, Security, Finance) to ensure appropriate protections and tracking of key terms.
  • Help implement and optimize legal operations tools (CLM, repositories) and self-service resources.
  • Support cross-functional projects (market launches, product reviews, updates to standard terms).

Key Collaborators:

  • Executive Leadership: CEO, CFO, COO, CMO, CPEO.
  • Go-to-Market & Sales (GTM): Primary business partner for commercial deal execution.
  • Internal Operations: People Operations, IT, Security, Finance.
  • External Advisors: Labor & Immigration counsel, local counsel, and other specialized external counsel.

This role is located in Tel Aviv, Israel. We are a hybrid work environment and are in the office 3+ days/per week.
