Lightstar Renewables is seeking an Attorney to join its legal team and support the development, acquisition, financing, construction, and sale of solar and battery energy storage projects across the United States. This position will report directly to the General Counsel and work closely with senior leadership and cross-functional teams throughout the organization.
This role presents a unique opportunity for an early-career attorney to gain broad exposure to project development, real estate, construction, commercial contracting, corporate transactions, and renewable energy law within a fast-paced and entrepreneurial environment.
This position is classified as remote with in-office/hybrid options available for candidates in the Boston Metro area. 
Responsibilities:
Commercial Contracting
  • Draft, review, negotiate, and administer a wide variety of commercial agreements, including confidentiality agreements, consulting agreements, professional services agreements, vendor agreements, software agreements, and other operational contracts. 
  • Assist business teams in identifying legal and commercial risks and developing practical solutions.
  • Support the development and maintenance of contract templates, playbooks, and internal legal processes.
Project Development and Real Estate
  • Support the Origination team in the negotiation and administration of leases, purchase options, easements, access agreements, crossing agreements, and other real estate documents.
  • Assist with title and survey review and resolution of real estate diligence matters.
  • Coordinate with outside counsel, title companies, surveyors, and consultants on project development matters.
  • Support permitting, land use, and regulatory diligence activities.

Project Acquisitions, Sales, and Financing Transactions
  • Assist with project acquisitions, dispositions, joint ventures, financings, tax equity transactions, and other strategic transactions.
  • Manage due diligence processes, data rooms, disclosure schedules, and transaction closing deliverables.
  • Draft ancillary transaction documents, consents, certificates, and closing documentation.
  • Coordinate with outside counsel and transaction counterparties to facilitate successful closings.

Construction and Procurement
  • Support review and negotiation of EPC agreements, equipment supply agreements, operations and maintenance agreements, and related project contracts.
  • Assist with contract administration, claims management, dispute resolution, and risk mitigation efforts.
  • Provide legal support to construction and procurement teams throughout project execution.

Corporate Governance and Compliance
  • Assist with corporate governance matters, including entity formation and maintenance, board resolutions, written consents, and organizational records.
  • Support compliance with applicable laws, regulations, and company policies.
  • Monitor legal and regulatory developments affecting the renewable energy industry.

General Legal Support
  • Provide legal guidance to Development, Finance, Construction, Asset Management, and Executive Leadership teams.
  • Manage outside counsel and specialized consultants as appropriate.
  • Support special projects and strategic initiatives as assigned by the General Counsel.

Preferred Skills and Qualifications:
  • Experience in renewable energy, project development, commercial real estate, construction, infrastructure, project finance, mergers and acquisitions, or commercial contracting.
  • Experience reviewing and negotiating commercial agreements.
  • Familiarity with solar, battery storage, transmission, or other energy infrastructure projects.
  • Experience working with cross-functional business teams.
  • Prior law firm or in-house legal department experience.

Skills Required

  • Licensed attorney admitted to practice law
  • Experience in renewable energy or project development
  • Experience in commercial real estate and real estate diligence (leases, easements, purchase options)
  • Experience with construction or infrastructure agreements (EPC, equipment supply, O&M)
  • Experience in project finance, tax equity, acquisitions, dispositions, or joint ventures
  • Experience reviewing and negotiating commercial agreements and contract administration
  • Familiarity with solar, battery storage, transmission, or energy infrastructure projects
  • Experience working with cross-functional business teams
  • Prior law firm or in-house legal department experience

Eagle Creek Renewable Energy was founded in 2010 to acquire, enhance and operate small hydroelectric power facilities. On October 8, 2019, Ontario Power Generation announced the finalization of the acquisition of Cube Hydro Partners and Helix Partners (collectively, Cube Hydro) from I Squared Capital. The two companies are now merging into one, operating under the Eagle Creek Renewable Energy Name. Eagle Creek continues to seek opportunities to acquire hydroelectric facilities and improve them to increase clean power production, operate them in harmony with the environment and enhance the value of the company's hydroelectric portfolio for its investor, employees, host communities and all stakeholders in the projects.
