Being a Commercial Counsel (Enterprise) at iManage Means…
You will be a core member of iManage's legal team, responsible for negotiating and closing a high volume of enterprise agreements with customers across the Americas. This is a high-impact, practitioner-focused role for a lawyer with meaningful enterprise SaaS or cloud experience who is ready to take ownership of the Americas customer contracting lane and operate with a high degree of independence.
Reporting to the Associate General Counsel, you will be a key contributor to iManage's commercial legal capacity as the company scales its customer base. You will handle third-party paper, negotiate iManage's own paper, and serve as a reliable, commercially minded legal partner to various business units.
The ideal candidate has substantial experience negotiating sophisticated enterprise customer paper, not just working from their company's standard form, and brings the commercial judgment and sales-partnership instincts to operate as a trusted business counsel, not just a contract reviewer.
iM Responsible For...
- Customer Contract Negotiation
- Negotiating and closing enterprise SaaS agreements with customers across the Americas.
- Reviewing, redlining, and negotiating customer paper, applying iManage's established fallback positions and playbooks while exercising sound legal judgment on deviations.
- Managing a high volume of concurrent deals efficiently, prioritizing deal velocity and business outcomes while maintaining appropriate risk discipline.
- Serving as the legal counterpart to sales and customer experience on customer contract matters in the Americas, handling escalations, answering commercial legal questions, and keeping deals moving.
- Using deal experience to identify emerging customer positions, market trends, and opportunities to improve iManage's commercial contracting approach.
- Cross-Functional Collaboration
- Building strong working relationships with sales, finance, customer experience, security, privacy, and legal operations as a trusted, commercially minded legal partner.
- Participating in deal reviews and other commercial forums where legal support adds value.
- Working closely with other legal team members to maintain consistency across commercial legal positions, sharing precedents, and coordinating on cross-regional accounts.
- Juris Doctor (J.D.) and active membership in at least one state bar.
- 4–7 years of commercial legal experience, with significant experience negotiating enterprise SaaS, cloud, or technology agreements in a high-volume environment.
- Demonstrated ability to manage a large and varied deal pipeline independently; comfortable with concurrent negotiations, competing priorities, and business-driven timelines.
- Strong commercial judgment, including the ability to make pragmatic decisions within established risk parameters and identify matters appropriately requiring escalation.
- Strong experience reviewing, redlining, and negotiating sophisticated customer paper, applying fallback positions with sound judgment on deviations.
- Deep familiarity with enterprise software commercial structures including SaaS subscription agreements, data processing agreements, security addenda, order forms, and professional services terms.
- Excellent communication and relationship-building skills; able to build trust with sales and business stakeholders, explain legal positions clearly to non-lawyers, and find pragmatic solutions that work for the business.
- Self-starter mentality with the ability to work independently, triage effectively, and maintain quality under volume and time pressure.

- Experience with privacy and data protection provisions in commercial agreements, including GDPR and UK GDPR-related DPA negotiation.

The overall US annual base salary range for this position is $145,000–$175,000. Individual compensation for each candidate depends on factors such as qualifications, experience, and candidate location. This range does not include additional forms of compensation, such as bonuses, commission, or benefits.
