Develops, tests, and supports Identity & Access Management (IAM) and Identity Governance (IGA) solutions. The Counsel II role involves providing legal guidance on employment issues, managing litigation, conducting investigations, and ensuring compliance with laws, particularly in the energy sector.

Support full contract lifecycle for energy trading and settlements: draft, review, analyze, negotiate, and manage NDAs, MSAs, SOWs. Identify and mitigate contractual and financial risk, ensure regulatory and SOX compliance, maintain contract policies and scoring matrices, support audits, and improve data management and reporting. Partner with trading, legal, procurement, finance, and risk teams.

Design, govern, and advise on secure, resilient cloud architectures (primarily AWS, with Azure support) for mission-critical utility systems. Lead cloud migration and modernization, apply security-by-design and compliance controls, define reference architectures and guardrails, use IaC for deployments, optimize cost and reliability, support incident response, mentor teams, and consult on technology selection and proofs-of-concept.

Lead development and maintenance of economic life-cycle risk models and business-case analyses to inform reliability-focused capital investment and maintenance decisions. Provide SME support, perform complex cost-benefit and portfolio analyses, contribute to regulatory filings, and collaborate with engineering, operations, and stakeholders to quantify benefits and prioritize investments.

Designs, implements, and measures talent management and culture programs (onboarding, performance reviews, promotions, engagement surveys). Leads program execution, change enablement, communications, and manager training. Partners with stakeholders to drive adoption, anticipate workforce needs, and improve employee outcomes.

Lead tax strategy and compliance for a utility, including renewable energy tax credit qualification, ASC 740 tax provision preparation, multi-jurisdictional tax return compliance, technical research on legislation, advising stakeholders, managing audits, and partnering with finance and systems teams to ensure accurate tax data and reporting.

Manage vegetation near electrical facilities to ensure transmission resiliency. Perform scoping, safety and contractor audits, scheduling, vendor management, and coordination with engineering and agencies. Oversee pruning practices, herbicide applications, compliance with regulations, and emergency/restore coordination. Prioritize risks, track project progress, and serve as subject-matter expert for forestry projects.

Lead preparation and review of SEC, FERC, and OPUC financial filings; ensure GAAP and SOX compliance; perform technical accounting research; support financial systems, testing, and ESG reporting; provide expert accounting guidance and analysis.
