Manages clinical trial contract and budget negotiations with sponsors, CROs, vendors, and research sites. Prepares and evaluates study budgets, cost estimates, amendments, and financial viability analyses; supports site start-up, feasibility, and RFP activities. Collaborates with Clinical Operations, Business Development, Finance, and legal stakeholders while ensuring compliance with protocols, SOPs, GCP, IRB, FDA, and company requirements. Supervises personnel and provides reports and process improvement recommendations.

The Contract Manager will manage the full lifecycle of commercial, clinical, research, vendor, procurement, and technology agreements. Provide transactional, compliance, privacy, advertising, e-commerce, and artificial intelligence legal counsel to technology-focused clients. Advise retailers, advertising platforms, lead generators, data brokers, software companies, and other businesses on agreements, consumer data, online advertising, payment processing, and AI issues. Handle matters independently while delivering strategic client service and potentially participating in hearings, depositions, and trials.

Supports governance and policy development for a federal stakeholder engagement program. Drafts and maintains agreements, governance documents, SOPs, charters, compliance dashboards, and governance models addressing information security, privacy, content management, and user access. Coordinates with advisory groups and governance bodies, communicates policy requirements, and helps ensure compliance with FISMA, privacy, data governance, legal, and regulatory requirements.

Supports the Sales team by coordinating customer contract requests, tracking documentation in Smartsheet and Google Workspace, researching contract records, managing certificates of insurance, maintaining shared documentation, and resolving issues to meet deadlines. The role also assists with contract printing, assembly, delivery, and annual contract-support projects while communicating with internal and external stakeholders.

Drafts, reviews, and negotiates contracts; manages contract lifecycles, legal templates, records, and filings; researches statutes and case law; prepares legal documents and correspondence; and provides legal guidance on business initiatives, policies, and compliance. The role supports senior legal leadership and requires independent legal analysis, organization, and collaboration.

Manage corporate governance, legal entity administration, corporate records, subsidiary maintenance, and strategic transaction support. Prepare consents, resolutions, certificates, filings, and due diligence materials; coordinate with stakeholders, outside counsel, registered agents, and service providers; track compliance and transaction deadlines; conduct legal research; and improve legal-team processes and recordkeeping.

Provides senior legal counsel to BPaaS and SaaS business lines. Drafts, negotiates, and closes complex commercial agreements, including MSAs, SOWs, SaaS contracts, managed services arrangements, and reseller agreements. Advises on SLAs, regulatory delegation, data rights, liability, and transition provisions. Supports acquisitions, strategic alliances, compliance programs, contracting processes, templates, and outside counsel management while partnering with sales and cross-functional teams.

Lead and mature the company’s privacy program, including policies, processes, education, GDPR, and CCPA/CPRA compliance. Negotiate and manage complex SaaS, software licensing, vendor, procurement, AI, data processing, and commercial agreements. Advise on privacy, AI, technology, intellectual property, sourcing, integrations, and partnerships while collaborating with Sales, Deal Desk, Procurement, Product, and Finance. Support end-of-quarter deal velocity and assist with adjacent employment and legal operations matters.
