The Associate General Counsel will oversee commercial contracting, contract lifecycle processes, data privacy compliance, employment law support, corporate governance, and external counsel relationships. The role advises cross-functional leaders on legal risk, privacy regulations, commercial terms, employee matters, regulatory developments, and board or equity issues. This position also develops legal frameworks, templates, policies, and processes that support scalable business operations while balancing risk management and business enablement.

Provide fractional paralegal support to alternative investment clients: prepare fund formation documents, manage investor onboarding and KYC/AML, coordinate regulatory filings and examinations, maintain corporate records and document systems, assist with contracts, legal research, HR legal matters, and support special projects and outside counsel.

Provides the company’s primary legal support across corporate, commercial, regulatory, contract, governance, compliance, employment, and risk matters. Advises the CEO and leadership, reviews and negotiates contracts and SLAs, manages statutory filings and corporate records, supports board documentation, coordinates external counsel, and assists HR, Finance, and Procurement with legal issues.

Leads negotiation and execution of complex enterprise technology and commercial agreements, including SaaS, BPaaS, licensing, data protection, security, professional services, and reseller contracts. Advises Sales, Customer Success, Finance, Security, Product, and leadership on deal strategy, legal risk, privacy, intellectual property, AI-related issues, and data rights. Determines EAR and ITAR classifications, prepares ECCN, CCATS, Commodity Jurisdiction, BIS, and DDTC submissions, and manages licensing documentation. Partners with engineering and product teams to assess technical changes, oversee export-control reviews, support audits, deliver training, and maintain compliance processes and governance throughout the product lifecycle.

Manages complex medical malpractice and general liability litigation claims for hospitals and providers. Oversees investigations, medical record analysis, outside counsel, discovery, case strategy, reserves, mediations, settlements, arbitrations, and trials. Reports high-risk claims and anticipated outcomes to senior leadership, negotiates on behalf of the organization, and ensures timely litigation progress. Requires healthcare legal knowledge, claims management expertise, strong negotiation skills, and proficiency with legal and claims systems.

Provides patent and trademark filing and prosecution support through docketing, document management, IDS preparation, recordals, reference management, and coordination with domestic and foreign agents. Maintains customer dockets, tracks deadlines, files documents with the USPTO, prepares intellectual property forms, manages communications, and supports quality and service-level objectives in a global, remote environment.

Provides enterprise-wide legal strategy across international expansion, global privacy, product regulation, trade compliance, and market entry. Advises cross-functional teams on jurisdictional requirements, data transfers, regulatory pathways, advertising, labeling, export controls, sanctions, customs, and consumer protection. Builds scalable legal templates, playbooks, policies, and review processes; coordinates outside counsel and regulatory responses; and translates complex multi-jurisdictional requirements into actionable guidance for business and technical stakeholders.

Serve as the compliance SME for HSA, FSA, and HRA products: review marketing and customer content, lead compliance risk assessments (including AI tools), advise product and ops teams on transaction and regulatory issues, monitor regulatory changes, support escalations and audits, and recommend controls and remediation for identified risks.

Provide legal support for commercialization and product development of an AI-powered ad tech platform: draft and negotiate commercial agreements, manage IP portfolio and complex IP litigation, advise on AI, data, and privacy matters, counsel product teams on compliance and IP protection, and develop automated legal workflows.
