Lead complex enterprise software transactions, negotiate SaaS and technology agreements, advise on AI, privacy, security, and compliance issues, and manage commercial legal risks. Build scalable contract playbooks and processes while partnering with Sales, Product, Engineering, Security, and Privacy teams. Provide strategic guidance on AI regulations and enterprise software adoption, and serve as a trusted advisor to customer legal teams and company leadership.

The role requires a Juris Doctor, active U.S. bar admission, civil legal practice experience, pro bono initiative experience, and strong legal writing and analytical skills.

Provide legal, commercial, compliance, and governance support across contracts, employment, IP, data privacy, and cross-border operations. Draft and negotiate agreements, advise leadership on legal risk, build scalable legal templates and processes, manage external counsel, and support disputes and global expansion.

Provides enterprise-wide legal strategy across international expansion, global privacy, product regulation, trade compliance, and market entry. Advises cross-functional teams on jurisdictional requirements, data transfers, regulatory pathways, advertising, labeling, export controls, sanctions, customs, and consumer protection. Builds scalable legal templates, playbooks, policies, and review processes; coordinates outside counsel and regulatory responses; and translates complex multi-jurisdictional requirements into actionable guidance for business and technical stakeholders.

Lead complex public sector SaaS and cloud transactions for state, local, and higher education customers. Draft and negotiate agreements, support RFx processes, advise on procurement regulations and disputes, and develop contracting playbooks and workflows. Collaborate with Sales, Finance, Security, Product, and other teams to accelerate deal execution while mitigating risk. Train internal stakeholders and improve contract operations using CLM and AI tools.

Manages and negotiates university-wide research contracts, including clinical research agreements, federal contracts, sponsored research agreements, data use agreements, confidentiality agreements, and subawards. Advises faculty and administrators, evaluates contractual risk, interprets regulatory and policy requirements, maintains contract records and tracking data, supports reporting, and helps train contract specialists. Coordinates multiple agreements under deadlines while protecting university and investigator interests.
