Role Overview
We are seeking a talented and driven US Legal Manager/Legal Consultant. This role offers exposure to high-profile, international transactions and the opportunity to work with a highly experienced team. The position also provides a track to promotion to Associate based on performance.

Key Responsibilities

• Handle private and SEC-registered equity offerings

• Advise clients on prospectus preparation, offering circulars, and ongoing US securities law compliance

• Counsel clients on Rule 144A offerings, Hong Kong listings (primary, secondary, or dual primary), and SEC-registered offerings

• Work with Chinese, US, and European companies as well as investment banks on equity transactions

Key Requirements
Essential

• US JD and undergraduate degree (from top colleges preferred)

• Strong technical and commercial foundation

• No prior experience required

• Fluent English

Desirable

• Strong technical and commercial abilities

• Highly effective communication skills (oral and written)

• Team-oriented, proactive, and committed to client excellence

• Ability to manage high responsibility and a challenging workload
