Salary range:  An annual salary range of $200,000 - $215,000 is what we expect to pay for this position, based on overall skills and experience.

What you'll do

Role Summary:

Customers Bank’s legal department provides high quality, cost effective legal services to support the Bank’s overall culture and vision while ensuring compliance with relevant laws and regulations.  The SVP, Associate General Counsel will be an integral part of the Bank’s Legal Department who will advise and provide legal support to the EVP General Counsel and Corporate Secretary and Business Unit Team Members with respect to a variety of areas to include: corporate governance, litigation management; drafting and negotiation of vendor contracts; legal research and analysis relative to financial regulatory, employment and operational matters, and management of strategic projects.    

Principal Responsibilities Include:

  • Corporate Governance
    • Attend Board and Board Committee Meetings; draft Board Meeting Minutes and work closely with Legal Specialists to ensure Minutes and Meeting Agendas are uploaded to the Board Portal on a timely basis.
  • Litigation
    • Ensure the timely and efficient management, tracking and reporting of litigation matters instituted by or against the Company.  
    • Manage outside counsel relationships and engagements during the lifecycle of litigation matters, including providing strategic direction.
    • Coordinate and manage the Company’s litigation hold processes.
  • Strategic Projects
    • Provide leadership for strategic projects at the direction of the General Counsel.
  • Insurance
    • Directly supervise team members in the Insurance Department.
  • Legal Process
    • Directly supervise team members in the Legal Process Department.
    • Oversee discovery responses and supervise the preparation of pleadings, briefs and other legal documents for factual accuracy.
    • Supervise and assist Legal Specialist(s) with the handling of civil and criminal subpoenas, writs of execution and levies.  
  • General Legal Matters
    • Provide strategic and practical legal analysis, counsel and support to legal department team members, business units and management regarding a myriad of legal matters.
    • Conduct legal research and analysis for complex issues impacting the Company.
    • Assist as necessary with the drafting and negotiation of non-disclosure agreements, vendor contracts and software licensing agreements.
    • Review and interpret contract provisions to advise business units with respect to risk and/or interpretation matters.
    • Provide support and analysis with respect to legal, regulatory and operational issues impacting the Company.
    • Provide practical legal advice as needed on a full range of employment law issues relating to the entire employee life cycle.

What you need?

Technology Strengths

  • Proficiency with Microsoft Office (Outlook, Word, Excel & PowerPoint).

Demonstrated Experience:

  • Minimum 7-10 years’ experience in the practice of law, preferably at a law firm, large bank or financial services company.
  • Currently licensed to practice law in Pennsylvania or New York.
  • Solid understanding of federal banking laws, rules and regulations.
  • Experience in negotiating and drafting non-disclosure agreements, complex vendor contracts and software licensing agreements.
  • Substantive knowledge and experience in commercial litigation management and strategy, including the management and oversight of outside counsel.
  • Experience in handling, investigating, and responding to subpoenas, levies, writs of execution and other court issued documents.
  • Experience in handling a variety of employment law and human resources matters.   
  • Strong work ethic and self-initiative, with the demonstrated ability to work collaboratively and independently to meet demanding deadlines in a fast-paced and changing work environment.
  • Solid organization skills and the ability to manage multiple and competing priorities while achieving superior results.
  • Exceptional project management skills.
  • The ability to communicate clearly, both verbally and in writing, at all levels within the organization, including being able to make and communicate difficult decisions to appropriate persons in the organization.
  • Commitment to exemplifying the highest integrity and professional business standards, while exercising the utmost discretion in managing sensitive information.
  • Strong interpersonal skills with the ability to work independently and as part of a team.

Education:

  • Juris Doctor from an ABA accredited law school.
  • Strong academic credentials.
