About the Role

Transactional business support for the US and Canada including commercial contract drafting, negotiation, review, and interpretation.

Providing advice in connection with commercial, regulatory, risk management, dispute resolution and contract management matters including, but not limited to, corporate entity management, complex commercial contracts, mergers and acquisitions, tax, financing, securities, and human resources.

Accept service of process, review, collect data, and respond to subpoenas appropriately.

Maintain assigned matters in the legal team’s matter management system and use all legal databases and tools as required.

Work strategically with other members of the global legal team and all US and Canadian business units to perform general corporate legal work.

Manage commercial litigation matters in the US and Canada.

Manage external counsel to include review of costs and fees to align with department budget.

Experience in distribution and manufacturing a plus.

Experience in the US and Canada a plus.

What You'll Do

  • Litigation: Oversee and manage litigation involving the company, including coordinating with outside counsel and ensuring appropriate risk management strategies are in place.

  • Contracts: Negotiating, reviewing, drafting a wide range of contractual terms and agreements for the company.

  • Compliance: Ensure and guide the company on adherence to relevant US and Canadian laws and regulations.

  • ADR: Oversee and manage alternative dispute processes such as mediation or arbitration for the company.

  • Systems: Maintain and use legal tools and systems as required and contribute to process improvements.

  • All other matters assigned by management.

What We're Looking For

  • >3 to 8 Years of relevant work experience

  • Master's / Post Graduate Degree Juris Doctor Degree

  • Bar License
