What Sr. Paralegal contributes to Cardinal Health
Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization’s assets, operations and image. This role will be part of Cardinal Health’s corporate legal team, focusing on a variety of areas, including corporate governance, entity management, and other corporate transactions. Under the direction of the organization’s attorneys, this role will be responsible for coordinating and managing the corporate governance and legal entity management activities of Cardinal Health’s international subsidiaries. This role partners closely with international Finance, Tax, Treasury, Legal, and Compliance teams to support strategic initiatives, including internal entity reorganizations, cash management and repatriation projects, tax planning strategies, and other cross-border transactions.
Responsibilities
- Partners with Accounting, Tax, Treasury, international Legal & Compliance, and international business leaders, as well as external legal counsel and corporate secretarial providers, to support governance, compliance, and strategic transactions involving international subsidiaries.
- Drafts, reviews, and coordinates corporate governance documentation, including board and shareholder resolutions, minutes, written consents, powers of attorney, director and officer appointments and resignations, and other corporate approvals.
- Coordinates annual general meetings of shareholders (AGMs), board meetings, statutory financial statement approvals, and related governance activities in collaboration with Cardinal Health’s external reporting and finance teams.
- Maintains corporate records, minute books, governance databases, organizational charts, and legal entity management systems for Cardinal Health’s international subsidiaries.
- Coordinates annual corporate maintenance activities, including annual reports, statutory filings, regulatory registrations, and other jurisdiction-specific compliance requirements through local service providers and external counsel.
- Manages KYC, UBO, and audit requests by collecting, reviewing, and providing corporate records and supporting documentation to banks, auditors, internal stakeholders, and regulatory authorities.
- Supports international corporate transactions, including entity formations, liquidations, mergers, acquisitions, restructurings, cash management, tax planning projects, and other strategic initiatives;
- Monitors governance obligations and corporate maintenance requirements, identifies compliance risks, and supports the implementation of appropriate corrective actions and governance best practices.
Qualifications
- At least 5 years of relevant experience in international corporate governance, entity management, and transactional support strongly preferred;
- BA, BS or equivalent experience in related field;
- Must be a quick learner and possess excellent written, oral, and presentation skills;
- Intermediate-to-Advanced Microsoft Office skills, particularly in MS Word and Excel;
- Experience with legal entity management systems and governance databases preferred.
