Job Summary
Responsible for all governance matters pertaining to assigned subsidiaries of Transocean Ltd. Handles governance compliance: required/advisable meetings, corporate transactions, director/officer slates, mergers/dissolutions, and other governance matters works closely with Finance and Tax to ensure appropriate management of subsidiaries. Ensures compliance with Swiss corporate law for assigned subsidiaries (Swiss LLC), including responsibility for preparing and filing documentation with the competent commercial register, maintaining statutory records. Provides support for corporate transactions such as incorporations, capital increases, mergers, dissolutions, and changes to director/officer slates, with a focus on Swiss entities. Liaise with Swiss notaries, external counsel, and authorities (including the commercial register) to ensure timely and accurate execution of corporate changes. Coordinate logistical aspects related to the Annual General Meeting (AGM) and board meetings of Transocean Ltd. in Switzerland, including scheduling and venue arrangements.Job Description

- Responsible for all governance matters pertaining to assigned subsidiaries of Transocean Ltd. Handles governance compliance: required/advisable meetings, corporate transactions, director/officer slates, mergers/dissolutions, and other governance matters; works closely with Finance and Tax to ensure appropriate management of subsidiaries - support to Entity Management Team.
- Provides support for intercompany projects and transactions as well as governance-related research and initiatives.
- Coordinates logistical aspects related to the Annual General Meeting (AGM) and board meetings of Transocean Ltd. in Switzerland, including scheduling and venue arrangements.
Education:
- Minimum Required: HS Diploma; Paralegal Certification
Experience:
- Minimum Required: 5+ years' experience as a paralegal and experience with Swiss corporate law.
Skills:
- Drafting, planning, follow-up and familiarity with corporate structures and organizational charts.
- Understand legal implications of various corporate transactions and governance tasks.
- Attention to detail and strong organizational skills.
- Proficiency in English and German.
- Proactive management of Swiss subsidiary compliance calendars.
- Monitoring legal developments and advising on implications for group entities.
