Job Description:
Position Summary
The Vice President of M&A Operations will lead end-to-end operational strategy, due diligence, integration, and separation (carve-out) efforts across the company’s deal pipeline. This role serves as the critical bridge between Corporate Development (deal sourcing/valuation) and Functional Leaders (HR, IT, Product, Sales, Legal, Finance) to ensure acquired businesses are seamlessly integrated and deal value drivers are realized.
Key Responsibilities
1. Due Diligence & Operational Assessment
- Lead operational due diligence across targets to evaluate business models, technology infrastructure, organizational structures, and operational risks.
- Partner with functional leads to develop comprehensive integration cost models, synergy benchmarks, and risk mitigation strategies during the deal pipeline phase.
2. Integration Strategy & Execution
- Own and evolve the global M&A Playbook, establishing scalable frameworks, governance, tools, and methodologies for integrations and carve-outs.
- Serve as the Integration Management Office (IMO) Lead for active deals, directing cross-functional integration teams from pre-sign through post-close stabilization.
- Establish key performance metrics (KPIs) and value tracking dashboards to ensure deal thesis objectives and revenue/cost synergies are achieved.
3. Executive Governance & Stakeholder Alignment
- Establish governance structures (Steering Committees, IMO workstreams) and drive weekly/monthly executive reporting on integration milestones, risks, and budgets.
- Act as a trusted advisor to C-suite executive sponsors and functional vice presidents, driving consensus and resolving high-level friction points.
4. Post-Merger Stabilization & Continuous Improvement
- Oversee change management strategies to ensure cultural alignment, employee retention, and customer continuity post-close.
- Conduct post-mortem evaluations for completed transactions to capture lessons learned and continuously refine operational execution.
Qualifications & Experience
- Education: Bachelor’s degree in Business Administration, Finance, Operations, or engineering; MBA or advanced degree strongly preferred.
- Experience:
- 10–12+ years of total professional experience, with 7+ years dedicated to M&A operations, post-merger integration (PMI), or corporate development.
- Deep experience managing complex, cross-functional integrations or carve-outs in [Industry, e.g., Tech/SaaS/Healthcare].
- Background in top-tier management consulting (M&A practice) or corporate strategy/integration at a growth-stage/enterprise company preferred.
- Core Competencies:
- Demonstrated mastery of project/program management governance (PMO/IMO setup).
- Strong financial acumen; ability to model operational synergies and track deal budgets.
- Executive presence with exceptional communication, negotiation, and influence skills across all organizational levels.
- High adaptability and comfort navigating ambiguity in fast-paced deal environments.
