We are seeking a Senior Corporate Paralegal with extensive corporate entity formation and governance experience to support Voltera’s Legal and Corporate Affairs teams. Our Senior Corporate Paralegal will play a critical role in forming special purpose entities (SPVs) for our national portfolio, managing corporate governance processes, and supporting document management across our growing organization. The ideal candidate is highly organized, detail-oriented, and thrives in a fast-paced startup environment where resourcefulness and adaptability are essential. This role reports to our General Counsel.

WHAT YOU’LL DO:

  • Form SPVs and holding companies in Delaware for our national real estate portfolio, managing all incorporation documents and filings.
  • File and manage renewals for state-level business licenses and registrations for SPVs across multiple jurisdictions.
  • Coordinate with external counsel and service providers on entity formations, compliance matters, and corporate filings.
  • Oversee the maintenance and organization of executed document repositories and implement document management best practices for company-wide support, including tracking and monitoring critical dates, and support document control and version tracking.
  • Support cross-functional teams during construction and commercial operations, ensuring legal documentation is aligned with project milestones.
  • Support Real Estate group in executing legal documents for real estate closings, including signature coordination and document finalization.
  • NDA: Manage flow and negotiate redlines within standardized terms under attorney supervision.
  • Assist with corporate governance tasks including preparation of board minutes, board committee minutes, board resolutions, and corporate record maintenance.
  • Perform additional responsibilities as assigned in our dynamic startup environment.

MUST-HAVE:

  • 6-9 years of experience as a paralegal with at least 4 years focused on corporate entity formation, governance, or business law.
  • Bachelor’s degree or Paralegal Certificate from an ABA-approved program, or equivalent job experience in a law firm or in-house legal department, demonstrating comparable knowledge and skills.
  • Demonstrated experience with SPV formation under Delaware law.
  • Experience with SharePoint as a document management system.
  • Strong project coordination skills with ability to manage document workflows and track critical deadlines across multiple concurrent matters.
  • Proficiency in online research tools, Microsoft Office, and corporate filing platforms.
  • Exceptional organizational and time management skills with meticulous attention to detail and ability to manage multiple priorities.
  • Strong written and verbal communication skills with ability to interact professionally across all levels of the organization.
  • Startup company mentality including resourcefulness, adaptability to changing priorities, comfort with ambiguity, and ability to wear multiple hats in a dynamic growth environment.
  • Ability to work independently, exercise sound judgment, and proactively seek guidance when appropriate to ensure quality and compliance.

NICE-TO-HAVE:

  • Experience working at startups or high-growth companies with demonstrated ability to scale processes and adapt to rapid organizational changes.
  • Construction law experience, including contract administration, compliance documentation, and supporting infrastructure projects.
  • Experience with multi-jurisdictional regulatory compliance and filing management across different states.
  • Basic knowledge of financing transactions as they relate to entity structures, equity and debt funding, and investment transactions.
  • Previous experience in the real estate, infrastructure, or clean energy industries with understanding of sector-specific legal considerations.

LOCATION:

  • Los Angeles, CA (Culver City preferred)

Base compensation ($123,000 to $140,000): Exact compensation may vary based on skills, experience, and location. Our total compensation package includes the base salary, bonus, incentive equity compensation, and competitive benefits (medical/vision/dental insurance, matching 401(k), unlimited vacation time, & EV incentive). Candidates must have authorization to work in the U.S. on a permanent basis. Relocation benefits are not available.
