Position Summary:
The overall goal of the Sr. Corporate Paralegal role is to provide comprehensive legal support in various areas, with a particular focus on corporate governance and compliance. Responsibilities include administering global stock plans, managing the company minute book, supporting due diligence exercises, overseeing compliance and securities filings, handling UCC filings, drafting and distributing legal documents, coordinating proxy materials, and managing global legal entity compliance. Additionally, they communicate with shareholders and ensure adherence to compliance and regulatory filing calendars, contributing to the efficient and effective operation of the legal department.
Essential Responsibilities:
- Own day-to-day operations of corporate function, which includes:
- Global stock plan administration.
- Service as a resource for other employees regarding equity questions.
- File feed management.
- Global entity management (e.g., compliance, filings, docketing).
- Ownership and management of company minute book.
- Support efforts to grow and scale through automation, process improvement, and partnership with internal and external business partners.
- Provide support in internal and external due diligence exercises.
- Coordinate and oversee compliance, securities, tax, and other state filings.
- Order, review, and analyze UCC, lien, and judgment searches; Prepare UCC filings.
- Draft and distribute legal documents, communications, resolutions, meeting minutes, correspondence, notices, proxies, agendas, ballots, and proxy statements.
- Coordinate proxy materials for both routine proxies and special shareholder meetings.
- Communicate with large stockholder base.
- Oversee compliance and regulatory filing calendars.
- Complete special projects and provide general legal operations support as needed.
Ideal Skills, Experience, and Competencies:
- At least fifteen (15) to eighteen (18) years of experience working in a combination of large law firms and corporate roles, with at least five (5) years of public company experience.
- Experience with Global Legal Entity Management and Tools. Implementation experience a plus.
- Seasoned Stock Plan Administrator with the ability to administer multiple plans on a global basis.
- Expertise in securities compliance.
- Skilled project manager with the ability to oversee multiple simultaneous workstreams.
- Experience drafting Process Playbooks and SOP documents.
- Incredible attention to detail.
- Demonstrated ability to synthesize information, apply critical and creative thinking, and solve complex problems without close supervision.
- Excellent verbal and written communication skills and strong ability to communicate with a wide and diverse audience (both internal and external).
- Ability to handle confidential information with discretion.
Required Education & Certifications:

- B.A./B.S. in a related field or equivalent work experience.
- Certification (CEP) and ‘National Association of Stock Plan Professionals’ membership a plus.
Compensation:
- Qualified candidates can expect a salary beginning at $130,000 or more depending on experience
