Summary of Role:
We are seeking a senior-level attorney (at least 7 years of experience) to support the drafting, review, and negotiation of technology agreements across GlobalFoundries’ product lines, including in particular the processor IP businesses of GF’s two recently announced acquisitions: MIPS and the ARC processor business of Synopsys. The individual should have significant recent technology transactions experience in the fabless semiconductor industry and a solid understanding of both the foundry and fabless industries including the underlying technologies and business drivers of each.

Essential Responsibilities:
- Support licensing business by (i) reviewing and revising IP outlicense agreements and associated schedules and (ii) negotiating related legal and IP terms such as usage rights, warranty, indemnity, and support provisions.
- Draft, review and revise other technology-related agreements, employing technical, IP, legal and business insight to drive positive business outcomes, while ensuring accuracy and compliance. Example agreement types include procurement, development and license agreements related to process technology, custom silicon, EDA tools, design IP (such as processor cores) and software.
Other Responsibilities:
· Perform all activities in a safe and responsible manner and support all Environmental, Health, Safety & Security requirements and programs.
Required Qualifications:
- Legal degree (JD) from an accredited U.S. institution or LLM from a U.S. institution with a non-U.S. degree equivalent to a J.D.
- At least college-level understanding of integrated circuits, their applications, and design methodologies.
- At least 5 years of legal experience in supporting, drafting and negotiating technology transactions in the fabless semiconductor sector (design IP house, fabless chip company, or similar).
- In-depth understanding of semiconductor industry terminology and the semiconductor ecosystem.
- Understanding of fabless semiconductor business models and practices.
- In-depth understanding of Intellectual Property (IP) concepts, demonstrated by prior experience as inhouse and/or as outside counsel.
- Excellent written and verbal communication skills. Technically proficient with typical application suites.
Preferred Experience:
- Experience with foundry services businesses and how foundries engage with fabless companies.
- Technical degree in a field relevant to semiconductor manufacturing or design.
Expected Salary Range
$107,000.00 - $201,000.00The exact Salary will be determined based on qualifications, experience and location.
