Our mission is simple: End Cyber Risk. We’re looking for an outstanding Senior Paralegal to join our expanding Legal team and be part of making that happen.

The ideal candidate will have solid experience in intellectual property law, and preferred experience or a willingness to learn in the following areas: litigation, privacy, and general corporate matters.This position offers an exciting opportunity for an ambitious team player to develop their legal skills while helping to drive the next chapter of our growth by supporting Arctic Wolf’s critical legal affairs.

Responsibilities:

  • Intellectual Property and Product Law:

    • Assist with the management of the Company’s intellectual property portfolio, collaborate with outside counsel to maintain a prosecution docket of patent and trademark filings.

    • Trademarks: Assist with the drafting, review and filing of trademark applications. Collect and maintain evidence of use. Monitor third party marks and consider enforcement actions.

    • Patents: Participate in engineering and product meetings to help identify patentable inventions. Shepard engineers through patent prosecution process by answering questions, calendaring drafting schedules, facilitating review and feedback, and obtaining inventor signatures. Maintain patent tracker to keep track of potentially patentable inventions.

    • Open Source: Manage open source request queue and triage top-level questions from engineers. Assist in creation of attribution notices and maintain copyleft materials.

    • Artificial Intelligence (“AI”): Manage AI request queue and triage top-level questions from engineers. Review vendor materials regarding AI functionality in vendor products and assess level of risk.

    • Product Law: Participate in engineering and product meetings to become familiar with current and future product features and functionality. Become a trusted resource for product teams and be available for triage of legal issues.

  • Litigation:

    • Assist with the arbitration and trial negotiations, including: factual research, document organization and production.

    • Manage and track litigation, preservation notice issuances and retractions.

    • Act as a liaison between the Legal team and internal departments.

  • Privacy:

    • Assist the Legal team in providing strategic and legal guidance on privacy issues including data access, collection, retention, transfer and use.

    • Support the Legal team on general privacy-related questions and inquires.

  • Corporate:

    • Assist in the preparation of documents required to form and maintain business entities and manage various domestic and international subsidiary matters, which may include formations, dissolutions, drafting of governing documents, and state/jurisdictional filings.

    • Support our corporate governance functions, including: assisting in the preparation of materials for our board of directors and board committees, resolutions and consents, organizing and maintaining corporate minute books, records and files.

    • Collaborate with executive and Legal team leadership to ensure adherence to corporate governance best practices.

    • Respond to KYC and similar requests for internal and external partners.

  • Securities:

    • Support the Legal team in securities legal work, including the preparation of documentation for equity financings, debt facilities and stock sales, and the preparation of SEC filings and compliance matters)

    • Stay abreast of regulatory changes and developments, advising the company on potential impacts and implementing necessary adjustments to practices and procedures.

  • M&A:

    • Support relevant Legal team members on all aspects of mergers and acquisitions matters, including preparation of NDAs and LOIs, due diligence efforts, contracts review, compliance and risk assessments, signing and closing deliverables, and coordination with our business teams on ad hoc problem solving.

    • Collaborate with internal teams on post-acquisition integration on behalf of the Legal team, including our Corporate Development, Finance, GTM and Sales & Marketing teams.

  • Other Legal Support:

    • As a key member of our 12-person Legal team, you’ll have an opportunity to flex (and expand) your skills in a dynamic environment that fosters growth, grit, and operational excellence. Be ready to support our Legal leaders on a variety of matters, including litigation, corporate, privacy, Intellectual property, insurance, employment and commercial transactions.

    • Identify and execute general process improvements to help drive legal department efficiency.

    • Assist with a variety of other requests to support the legal team as may arise from time to time, including legal research, contract review, and compliance-related initiatives.

    • Collaborate with internal teams and outside counsel to assist the Legal team as required.

Skills and Requirements:

  • 5 years of experience as a paralegal at a reputable law firm, and also as part of an in-house legal term in a fast-paced and demanding environment.

  • Associates degree or higher; paralegal certification preferred but not required.

  • Previous roles that emphasized project management, prioritization, multi-tasking, and consistently meeting deadlines.

  • Responsiveness, impeccable attention to detail, strong work ethic, strong written and verbal, communication skills, and a team-first commitment.

  • Experience in intellectual property required. Experience in at least some of litigation, privacy, commercial, securities, M&A, and employment preferred but not required.

  • Willingness to roll up your sleeves and work on something outside your traditional skill set if/as needed.

  • Experience working with SaaS tech companies in a high-growth environment highly preferred.
