Sprout Social is looking to hire a Corporate Paralegal for the Legal team.

What you’ll do
- Draft, manage, and assist with a variety of SEC filings and corporate governance documents, including but not limited to, section 16 filings, 13Gs, proxy statements, 10-Ks, 10-Qs, board minutes, board consents, director and officer questionnaires, and other various corporate governance documents.
- You will serve as a project manager for securities, corporate governance, and corporate reliance-related projects including but not limited to tracking beneficial ownership, updating public company compliance calendars, tracking board and committee matters and documentation to ensure meeting documentation is compliant, coordinating our annual shareholder meeting, performing 10b5-1 plan compliance, tracking and updating corporate compliance training, performing sanctions compliance, and implementing new legal software.
- Work closely with our Associate General Counsel and General Counsel to create board and committee meeting materials, including creating the first draft of agendas, unanimous written consents, and resolutions, as well as finalizing board minutes at the direction of our corporate secretary.
- Create checklists and processes to avoid “recreating the wheel” with corporate governance and securities issues
- Update ESG disclosure annually
- Perform detailed legal and factual research. Examples include locating secondary and primary legal resources, locating templates, comparing legal vendors, onboarding legal vendors, and summarizing and presenting findings.
- Implement the findings of your research by partnering closely with in-house counsel.
What you’ll bring
As a Corporate Paralegal, you will be responsible for managing and supporting a variety of legal workstreams, as well as ensuring Sprout Social’s compliance with various regulatory frameworks. Areas of focus include SEC compliance, corporate governance, legal project management, and international trade compliance. In this role, you will be presented with new challenges and growth opportunities every day.

You can manage workstreams with limited supervision, execute accurately, balance shifting priorities, and learn on the fly. You seek out efficiencies so that your life and the lives of others are constantly made easier. You are curious, resourceful, and jump into less familiar areas and learn while doing so. This person will report to Sprout Social’s Associate General Counsel of Corporate and Securities and also work closely with its General Counsel.
The minimum qualifications for this role include:
- 5+ years of applicable legal experience with an in-house legal department, law firm, or government.
- A demonstrable track record of managing legal projects at an intermediate level with limited supervision in the area of securities, corporate governance, and corporate compliance.
- A basic understanding of securities law and corporate governance.
Preferred qualifications for this role include:
- 5+ years of applicable legal experience with an in-house legal department at a SaaS public company.
- Paralegal and project manager certifications.
How you’ll grow
Within 1 month, you’ll plant your roots, including:
- Complete Sprout Social’s new hire training & onboarding program alongside other new Sprout team members. You’ll gain a broader understanding of our products and how your role fits into the organization.
- Make a plan with your manager to set initial priorities, align on expectations for your role, plant goalposts for your career, and learn about Sprout’s approach to SEC filings and compliance, corporate governance workflows, sanctions compliance and ESG compliance.
- Draft and file your first section 16 filings with limited supervision.
- Assist with the preparation of more complex SEC filings, including 10-Qs and the proxy statement.
- Display competence with our SEC filings software, Workiva, and our board software, Diligent Boards.
- Assist with updating and publishing board minutes and board consents in Diligent boards.
Within 3 months, you’ll start hitting your stride by:
- Independently using sanctions compliance software to perform necessary customer screenings.
- Updating and rolling out director and officer questionnaires and board evaluations using Diligent Boards.
- Properly reviewing an executive trading plan under attorney supervision.
- Displaying familiarity with the company’s quarterly earnings process.
- Properly making edits to our playbooks, legal resources, and invoice submissions.
- Tracking the ownership of section 16 filer holdings under attorney supervision.
Within 6 months, you’ll be making a clear impact through:
- Independently coordinating the legal aspects of the quarterly earnings and 10-Q filing process.
- Independently reviewing executive trading plans.
- Assisting with updating Sprout’s ESG disclosure.
- Creating first drafts of certain sections of our proxy statement under attorney supervision.
- Independently tracking the ownership of section 16 filings.
- Updating board minutes, consents, and calendars with limited supervision.
Within 12 months, you’ll make this role your own by:
- Independently creating first drafts of more complex Sprout disclosure, such as certain sections of our proxy statement, 10b5-1 plan disclosure in our 10-Qs, form 13Gs and 13Ds, and ESG disclosure.
- Assisting with the drafting of the risk factor section of the 10-K, including legal research and coordinating stakeholder review.
- Coordinating the annual shareholder meeting.
- Independently creating new kinds of compliance tracking spreadsheets based on high-level guidance from attorneys.
- Proactively updating board minutes, consents, and calendars.
- Be seen as an integral part of corporate, securities, and compliance processes, leading projects from start to finish with limited supervision.

Of course, what is outlined above is the ideal timeline, but things may shift based on business needs and other projects and tasks could be added at the discretion of your manager.

Individual base pay is based on various factors, including work location, relevant experience and skills, the responsibility of the role, and job duties/requirements. In the United States, we have two geographic pay zones. You can confirm the pay zone for your specific location with your recruiter during your interview process. For this role, our current base pay ranges for new hires in each zone are:
- Zone 1: $83,600 to $125,400 USD annually
- Zone 2: $76,000 to $114,000 USD annually
Sprout’s compensation ranges are intentionally broad to allow for our team members' growth within their role. These ranges were determined by a market-based compensation approach; we used data from trusted third-party compensation sources to set equitable, consistent and competitive ranges. We also evaluate compensation bi-annually, identify any changes in the market and make adjustments to our ranges and existing employee compensation as needed.
Base pay is only one element of an employee's total compensation at Sprout. Every Sprout team member has an opportunity to receive restricted stock units (RSUs) under Sprout’s equity plan. Employees (and their dependents) are covered by medical, dental, vision, basic life, accidental death, and dismemberment insurance, and Modern Health (a wellness benefit). Employees are able to enroll in Sprout’s company’s 401k plan, in which Sprout will match 50% of your contributions up to 6% with a maximum contribution. Sprout offers “Flexible Paid Time Off” and ten paid holidays.
