As a Senior Paralegal, you will own the day-to-day legal operations surrounding our commercial agreements, compliance efforts, international corporate subsidiaries, and corporate recordkeeping. Major Performance Objectives
Manage Contractual Workflows: Act as the primary point of contact to review and process standard agreements (i.e,., NDAs, employment, independent contractor agreements, equity grants) within a defined turnaround time (e.g., 48 hours).
Ensure Global Corporate Governance: Lead the recordkeeping and filing processes for domestic and international corporate subsidiaries, ensuring 100% compliance on all state filings, annual reports, and board of director changes.
Optimize Legal Infrastructure: Oversee the signature process and maintain accurate, up-to-date commercial contract and due diligence databases, identifying opportunities to expand AI usage, reduce retrieval time or implement new contract lifecycle workflows.
Support Strategic Initiatives: Partner seamlessly with the General Counsel to provide critical administrative and project support on complex, high-visibility projects, including M&A, financings, IP portfolio maintenance, and stock plan administration via Carta.
Critical Subtasks
Provide continuing support on executed agreements, handling amendments, extensions, and terminations efficiently.
Analyze risk in relevant contracts, partnering with other legal team members to communicate potential issues to stakeholders.
Establish and manage the processes for setting up and maintaining international corporate subsidiaries.
Assist with equity and stock plan administration utilizing Carta.
Take initiative to identify bottlenecks in current legal workflows and implement practical solutions to improve team efficiency.
Manage conflicting priorities and multiple simultaneous projects autonomously, ensuring matters are handled expeditiously.
Collaborate effectively with a cross-functional remote team, delivering a customer-focused approach to internal stakeholders.
