Legal and Compliance Department
The mission of the Legal and Compliance Department is to provide Catalent, a privately-owned multi-national and its worldwide subsidiaries, which operate under the “Catalent Pharma Solutions” name, with world-class legal and compliance services that help the company grow and achieve its business goals and remain compliant with a variety of regulatory regimes. It does so by ensuring that the advice given and services provided are strategic, timely, proactive, practical, and cost-effective and meet the highest legal, ethical, and professional standards.
Currently, the Legal and Compliance Department is comprised of 55 members, including 33 lawyers. The Department is headquartered in New Jersey, but also includes personnel resident in Europe, Singapore, and South America. Areas of expertise within the Legal and Compliance Department include general commercial law (including customer and vendor contracting); corporate, and mergers & acquisitions; intellectual property; labor, employment, and benefits; litigation and regulatory; and legal ethics and trade compliance.
The Role
The Senior Counsel will be an important member of the Legal and Compliance Department, providing direct support to the Company’s Pharma & Consumer Health business which has 23 sites across the globe.
This attorney will provide support as needed to other department personnel on a wide variety of matters, including assistance in negotiating and documenting many types of commercial and other relationships in the European and APAC regions.
From time to time, this may include legal advice and support on contract interpretation, business disputes, procurement, personnel matters, and real estate issues, as well as legal training for the commercial sales function. The attorney will liaise as needed with other support and business functions to resolve issues efficiently.
Responsibilities:
- Draft, review, analyze, structure and negotiate terms and conditions, manufacturing, packaging, nutritional/pharmaceutical development, purchase, supply, license and master service agreements
- Advise regional personnel with respect to compliance policies, customer and vendor relations, contract matters, regulatory issues
- Assist in merger and acquisition activity
- Assist in corporate governance activity
- Provide general advice to senior management of the region and other regional managers on a day-to-day basis
- Special assignments and projects
- Provide advice and guidance for the accomplishment of the overall business objectives in compliance with applicable laws and regulations
- Provide informed cost-benefit analysis when identifying risks
- Develop a thorough understanding of and familiarity with the business and its people, products, technology, markets, facilities, customers and competitors to identify trends and formulate business and legal structures and strategies accordingly
- Other duties as assigned
Required Skills
- Qualified lawyer, admitted to the Bar (preferred)
- Minimum of 3-5 years of transactional/commercial law experience with a combination of large law firms and/or in-house pharmaceutical experience
- A record of outstanding academic achievement at the university and professional training levels
- Solid judgment, particularly in determining the significance of legal matters and when to elevate them to more senior department personnel and in effectively measuring and mitigating risks
- Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously
- Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
- Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
- Ability to independently manage numerous projects to favorable resolution or conclusion
- Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization
- Enthusiasm and “self-starter” qualities enabling the attorney to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment
