The Role

You'll serve as a core operational backbone for the Legal team, owning the recurring machinery of corporate governance, compliance programs, and company policies while providing flexible, high-impact support to commercial and litigation workflows as needed. Reporting directly to the Chief Legal Officer, you'll ensure our corporate records, equity administration, and compliance mechanisms run with exceptional discipline and precision.

This is a full-time, exempt position based in our Oakland, CA office with a hybrid work schedule: in office M/W/Th with the option to work from home on Tu/Fr.

What you'll do
  • Own corporate governance and entity management, maintaining minute books, supporting quarterly Board of Directors meetings, partnering on equity administration, and keeping foreign qualifications and filings in good standing.
  • Help operate Everlaw's Corporate Compliance Program, including administering the whistleblower line, supporting third-party risk and sanctions programs, and coordinating annual compliance deliverables.
  • Manage the lifecycle of company-wide policies, partnering with the People team to keep training content current, effective, and fully deployed.
  • Administer Everlaw's Corporate Records Glean Agent to maintain clean, searchable, and well-organized corporate records.
  • Provide agile backup support for contract lifecycle management, DSAR tracking, and DPA/BAA administration during peak periods.
  • Partner closely with outside counsel, executives, and internal stakeholders across Finance, People, and Security to resolve operational legal needs.
About You
  • You have 5+ years of paralegal experience, including substantive in-house experience at a venture-backed or pre-IPO company or law firm experience supporting emerging growth clients.
  • You possess strong working knowledge of Delaware corporate governance, Board and committee mechanics, and private-company equity administration platforms (such as Carta).
  • You demonstrate disciplined document management instincts, excellent project management skills, and sound judgment around confidentiality, privilege, and escalation.
  • You have exceptional written and verbal communication skills with the poise and clarity required to collaborate directly with executives, directors, and outside counsel.
  • You hold a Bachelor's degree or equivalent experience (a paralegal certificate or notary commission is a plus).
  • You are authorized to work in the United States. Please note that at this time, Everlaw is not sponsoring U.S. employment visas for this role.
Bonus points
  • You have familiarity with corporate compliance frameworks (FCPA, OFAC sanctions screening, whistleblower hotlines, third-party due diligence).
  • You have experience with privacy program operations (GDPR/CCPA, DSAR handling, vendor DPAs) or contract lifecycle management tools.
  • You have exposure to UK entity administration, compliance training programs, or public company readiness workstreams.

The expected salary range for this role is between $141,000 and $179,000. The final offered salary will be dependent upon many factors including the candidate’s experience and skills. The base pay range is subject to change in the future. This role is also eligible for equity and the benefits below.
