Job Description
The Senior Corporate Paralegal is responsible for preparing and managing corporate/business records, providing legal research, and assisting with transactions while accurately performing a wide variety of administrative support duties for the Legal Department.Location: Remote
ESSENTIAL JOB FUNCTIONS:
- Responsible for preparing, organizing, and maintaining corporate records, including board minutes, resolutions, bylaws, and organizational documents
- Ensure compliance with corporate governance requirements and facilitate annual meetings and board activities
- Collaborate with credentialing, tax, finance, and legal to ensure all regulatory requirements are met and filings are made on time.
- Responsible for ensuring compliance with federal, state, and local laws and regulations
- Work closely with legal research and monitor changes in relevant laws and regulations
- Collaborate with the general counsel in the development and implementation of corporate policies and procedures.
- Assist in the preparation, review, and management of legal documents related to mergers and acquisitions, financings, and other corporate transactions.s
- Coordinate and facilitate due diligence processes, including gathering and organizing necessary documentation.
- Prepare closing checklists and assist in the execution of closing documents.s
- Draft, review, and manage a variety of contracts, including NDAs, vendor agreements, and Division and service line contracts
- Create, update, and maintain contract databases, manuals, and departmental files.
- Manage and organize legal files and databases, ensuring all documents are accurately filed and easily retrievable.
- Assist with invoice processing for legal services.
KNOWLEDGE, SKILLS AND ABILITIES:
- Knowledge and understanding of legal terminology, contracts, and related documents.
- Ability to pay close attention to detail and to produce extremely accurate work.
- Ability to maintain a high level of confidentiality.
- Thorough knowledge and skills in using computers, with a strong emphasis on Word, Excel, and Adobe.
- Courteous and professional; excellent verbal and written communication skills; ability to coordinate tasks and projects with coworkers, various levels of management, and business contacts; emphasis on proper English and correct grammar.
- Proficient use of the internet, legal research databases, and other resources to gather/research information.
- Competency in working in a multi-task environment and in coordinating various activities simultaneously.
- Basic mathematical skills such as addition, subtraction, multiplication, and division.
- Able to work independently under the guidance of attorneys in the Legal Department to coordinate project timelines, deadlines, and renewals.
EDUCATION AND EXPERIENCE:
- Minimum of 7 years’ experience as a paralegal in a law firm or corporate legal department required.
- Paralegal certificate from an ABA-approved program and notary certification a plus.
PHYSICAL DEMANDS:
- While performing the duties of this job, the employee is regularly required to sit for prolonged periods and occasionally walk, stand, bend, stoop, and lift up to 15 pounds.
- Required to have close visual acuity to perform the job.
Salary Range: $90,347-$167,141
Salary Range:
$90,347.00 - $167,142.00Salary may be determined on several factors including but not limited to knowledge, skills, experience, education, geographical location and requirements stated in job description.
