Position Summary
The Senior Corporate Paralegal assists the legal team by providing, under the direction of attorneys, analysis, assistance, recommendations related to legal matters that arise and research support services, project management and regulatory filing support. Interacts with a diverse group of external stakeholders, including regulators, process servers, and outside counsel for the company and adverse to the company, as well as internal contacts at all levels of the organizationDuties & Responsibilities- Provide research, project management and regulatory filing support and serve as an extension of the General Counsel & Corporate Secretary on a daily basis.
- Organize and maintain records for general corporate matters.
- Provide research, drafting and logistical support for SEC and Nasdaq filings and bank regulatory filings and obligations, and maintain detailed records supporting disclosures.
- Support the preparation of annual director and officer questionnaires.
- Review/analyze and maintain records, business licenses and regulatory filings for all entities within the company’s corporate structure.
- Assist with insider trading compliance and activities.
- Perform due diligence activities and document organization for debt and equity offerings, M&A and business development transactions; provide other support related to equity compensation matters, equity offerings, debt offerings and M&A.
- Assist with vendor management and vendor contracts.
- Coordinate with internal and external legal counsel on litigation document management, discovery efforts and document holds, as needed.
- Prepare/coordinate materials for Board, committee and shareholder meetings, including agendas and minutes, and manage distribution of board materials via board portal.
- Manage judicial compliance, including processing of subpoena, garnishment, levy and freeze requests.
- Review/provide initial comments and negotiate, under the direction of lawyers within the Legal Team, non-disclosure agreements.
- Together with the General Counsel, assist with legal department budgeting and management of legal department vendors, including facilitating legal department budget tracking and management; work with Finance Team quarterly on legal accruals; process and track Legal Team invoices.
- Working with the General Counsel, responsible for tracking, preparing and filing all Section 16 reports for directors and officers.
- Together with the General Counsel and the risk and compliance teams, assist with creation and management of legal corporate policies and procedures (e.g. signature policy, Reg. O compliance, etc.) and assist with coordinating (and occasionally driving) related training.
- Facilitate claims reporting to insurance providers and track and manage retentions.
- Provide assistance with ad hoc and special projects, as requested.
- Maintain confidentiality; adhere to policies and procedures; comply with laws, regulations and industry best practices.
Knowledge of:
- Excellent oral, written communication and project management skills

Education and Training:
- Bachelor’s degree preferred, paralegal certification preferred.
- Requires 6-10 years of Paralegal executive level support.
- 2 or more years in the banking industry preferred.
- Requires proficient knowledge of Microsoft Office, Adobe Acrobat and board portal software (ideally Nasdaq Boardvantage).
Compensation and Benefits
Salary offered is based on factors, including but not limited to, the job duties, required qualifications and relevant experience, and local market trends. The role may be eligible for bonus or incentives based on company and individual performance.
(Base Pay Range: $85,0000- $110,000/year)
