Iron Mountain is seeking an experienced and motivated Senior Corporate Counsel, U.S. Public Sector to join our U.S. Public Sector Legal team.
In this role, you will be responsible for serving as the primary legal negotiator of contracts for both U.S. federal government and U.S. state, local, and education (U.S. SLED) customers, driving transformative growth through high-stakes transactions for Iron Mountain’s Government Solutions business.

What You’ll Do
In this role, you will:
Contract Negotiation & Drafting: Draft, redline, and negotiate a high volume of complex prime contracts, subcontracts, teaming agreements, master term agreements, vendor agreements, and commercial standard terms (including data center terms, End User License Agreements, and professional service Statements of Work) within government frameworks.
Regulatory Compliance & Counsel: Interpret government contract clauses—specifically regarding Federal Acquisition Regulation (FAR)-based commercial services contracting—and ensure all proposals and contracts strictly comply with relevant FAR, Defense Federal Acquisition Regulation Supplement (DFARS), General Services Administration (GSA), agency-specific clauses, and diverse U.S. SLED procurement requirements.
Risk Mitigation & Strategic Advisory: Support the review and analysis of U.S. federal government, U.S. SLED, and related commercial Request for Proposal/Information/Quotation (RFx) documents to identify legal, financial, and operational risks, providing strategic redlines and risk-mitigation counsel to internal proposal and business teams.
Cross-Functional Collaboration: Partner closely with internal stakeholders, legal department colleagues, and the Contracts Management team to bid, win, and manage complex contracts for system integrators, channel partners, and public sector customers, while assisting with commercial requests that have public sector touchpoints.
Post-Award Contract Management: Advise upper-level management and business units on post-award contract matters, including contract modifications, performance rights, and compliance obligations.
What You’ll Bring
The ideal candidate will have:
5+ years of law firm or corporate in-house experience in U.S. federal government and U.S. SLED contracting concepts, including commercial services (FAR Part 12) and GSA contracting.
Strong knowledge of drafting, analyzing, and negotiating public sector agreements (including non-disclosure agreements, subcontracts, and teaming agreements) and reviewing terms and conditions for public sector Request for Proposals (RFPs), Request for Quotations (RFQs), and Request for Informations (RFIs).
A Juris Doctor (J.D.) degree from an accredited law school and active qualification/admission to practice law in at least one U.S. jurisdiction.
Proven independent judgment and creativity to resolve complex contract and compliance issues in a highly cross-functional environment.
Excellent organizational, process management, time management, communication (verbal and written), and upper-level stakeholder negotiation skills.
