The Compliance Analyst supports Treasury and Legal by facilitating structured finance and debt transactions, managing SEC and debt compliance activities, coordinating regulatory reporting, and maintaining critical transaction documentation. This role partners closely with Treasury, Corporate Development, Investments, Legal, and external stakeholders to ensure financing activities, securitization programs, M&A transactions, and compliance obligations are executed accurately, efficiently, and in accordance with regulatory requirements.
Responsibilities:
- Support structured finance and debt transactions, including securitizations, warehouse facilities, private placements, term loans, and other financing activities.
- Manage debt compliance activities, including monitoring regulatory obligations, maintaining compliance records, and supporting annual compliance requirements.
- Manage all SEC reporting. Prepare, review, coordinate, and file required SEC reports related to outstanding public securitizations, ensuring timely and accurate submissions.
- Coordinate transaction execution activities, including due diligence, documentation, closing deliverables, and post-closing requirements.
- Support mergers and acquisitions activities by assisting with transaction documentation, checklists, and coordination efforts throughout the transaction lifecycle.
- Administer and track legal agreements and transaction documentation, including Non-Disclosure Agreements, UCC-1 financing statements, renewals, UCC-3 continuations, and related filings.
- Coordinate ongoing securitization reporting requirements, trustee communications, certifications, redemption activities, and related compliance deliverables.
- Oversee matter management and billing processes, including vendor onboarding, matter administration, invoice processing, and Team Connect administration while partnering with internal departments, outside counsel, trustees, and regulatory stakeholders.
Qualifications:
- Bachelor’s degree in Business, Finance, Legal Studies, Accounting, or a related field preferred.
- Experience supporting compliance, corporate legal, treasury, finance, regulatory reporting, or related functions, preferably in a law firm.
- Knowledge of SEC reporting requirements, EDGAR filing platforms, debt compliance, contract administration, or related regulatory processes.
- Proficiency with Microsoft Office applications and the ability to learn and utilize business systems and AI-enabled productivity tools.
- Strong organizational, project management, and multitasking skills with exceptional attention to detail.
- Excellent verbal and written communication skills with the ability to collaborate across multiple departments and external stakeholders.
- Strong analytical and critical-thinking skills with a proactive, self-starter mindset.
- Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
