General Summary of Duties:

Fontainebleau Development is looking for an experienced paralegal to support Fontainebleau Development's expanding operations and structure. He or she will provide assistance to Fontainebleau Development's Vice President, General Counsel within a fast-paced legal department. Knowledge in contract review and drafting, corporate governance, and trademarks is beneficial.

Typical Physical/Mental Demands:
Requires mobility. Requires prolonged sitting, standing, and walking. Ability to push and/or pull cabinet weighing up to fifteen pounds. Eye/hand coordination and manual dexterity. Ability to distinguish letters, symbols, and colors. Normal vision and hearing range.

Typical Working Conditions:
Work is usually performed in an office environment. Ability to tolerate varying conditions of noise level, temperature, illumination, and air quality.

Examples of Duties (includes but is not limited to the following):
1.Manage projects relating to legal department, as assigned by General Counsel
2.Initial review and analysis of contract proposals from vendors and corporate partners; draft new contracts using Fontainebleau’s general contract forms; update contract management database with new executed contracts; follow up on deadlines relating to expiration of contracts.
3.Interact with all departments and provide education to assure conformity and consistency in application of business and legal policies and practices
4.Perfrom independent judgment in evaluating, assessing legal issues
5.Interface with outside counsel on litigation, corporate, and intellectual property matters
6.Manage corporate records and books.
7.Ability draft reports, presentations, spreadsheets, databases, memoranda and documents related to transactional, compliance, corporate and/or litigation matters.
8.Ability to draft legal correspondence including drafting cease and desist letters; termination of contract letters.
9.Respond to and gather documents for subpoenas.
10.Do filings on all corporate entities to make sure entities remain in good standing.

Performance Requirements (knowledge, skills and abilities):
1.Experience in Internet including knowledge in MS Word, Excel, and Power Point and/or hit technology areas of business strongly preferred.
2.Excellent analytical skills, with a strong ability to draft and review legal documents, analyze legal advice and apply legal advice to business needs.
3.Hard working, resourceful, well-organized and detail-oriented. Must be able to manage numerous projects simultaneously under deadline pressure.
4.Flexibility and willingness to work on a broad variety of legal matters.
5.Ability and willingness to take initiative to address problems and make continuous process improvements.
6.Excellent interpersonal skills, dynamic and highly team-oriented. Positive attitude and commitment to professionalism is required
7.Excellent writing and communication skills a must.

Education:
B.A. or equivalent experience.

Experience:
At least five (5) years of paralegal or similar experience with a top-tier law firm and/or in-house legal department, including significant experience in managing corporate structures and compliance.
