We are seeking a top tier mid-level lawyer for a sole contributor role, supporting our shovel-ready solar project, renewable energy pipeline, and data centre developments in Malaysia. This is a unique opportunity to grow into the legal head for Malaysia and build a team in the future as Vena expands its operations in the country. You will also work closely with an international team of regional lawyers to and may be involved in regional matters depending on performance.
Key Responsibilities
Contract Negotiation
Lead or support the negotiation, drafting, execution and closing of various contracts.
Contract Management
Advise and support relevant business teams (business development, land, project management, investment etc.) and contract management teams on the management of executed Contracts, including day to day matters and potential disputes.
Dispute Resolution
Advise and support senior members of the legal team on the resolution of Contract disputes under various dispute resolutions processes, including mediation, court litigation and arbitration.
Legal and Regulatory Advice
Provide legal and regulatory advice across Vena Group’s operations, including business compliance, project permits, land approvals, group-wide initiatives, and government policy; support stakeholder negotiations, regulatory disputes, audits, and investigations; and review contracts for legal compliance and best practice recommendations.
Corporate Structuring and Secretarial
Collaborate the outsourced Malaysia Corporate Secretarial team and Vena’s Singapore team to draft and implement corporate secretarial documents, including board resolutions and foreign investment approvals; support entity structuring, corporate restructurings, and other country-specific governance initiatives.
Other Legal Support
Represent Vena Group in meetings with external stakeholders, including vendors, authorities, and communities.
Support business transactions and cross-functional projects through contract execution and coordination of closing requirements.
Conduct legal due diligence on new opportunities, escalate issues, and recommend solutions.
Develop and review legal templates and contracts to ensure consistency with Vena’s standards.
Compliance Collaboration
Support ethics case investigations as required by the Compliance and Governance team.
Governance Collaboration
As required, support the Governance team on governance related initiatives, including advice on the overall governance framework as it applies to the applicable country, interpretation/review of the Approvals Protocol, policy reviews (e.g. data privacy, AML, ABC etc.) from a country legal perspective.
Prerequisites
3-6 years PQE, qualified in Malaysia
Outstanding academic credentials; LLB (or equivalent) from a leading Malaysian law school or a recognised overseas university (e.g., UK, Australia, US) strongly preferred
Strong English language drafting skills
Experience working on infrastructure projects in Malaysia, including data centres and renewable energy projects
Open to new tasks and opportunities outside work scope and comfort zone
Ability to work on a broad range of documents and matters
Outgoing, collegiate team player
Enthusiasm for renewable energy and sustainability
Comfortable in an international and diverse environment
