Job Summary:
This role oversees the corporate governance and statutory compliance for a high-volume portfolio of 79 renewable energy and healthcare entities. Candidate shall ensure a 100% on-time filing rate while managing the full board cycle, from distributing materials five days in advance to executing complex resolutions for strategic projects. It is a high-precision position requiring authoritative legal drafting and the ability to navigate sophisticated joint-venture relationships.
Key Responsibilities:
The Role A high-stakes governance lead responsible for the compliance and board management of a 79-entity portfolio. This is a "zero-error" position that bridges technical legal drafting with rigorous project management.
Core Priorities
Board Excellence: Managing the full board cycle with strict deadlines—materials sent 5 days prior and action items out within 2 days.
Regulatory Mastery: Ensuring a 100% on-time filing rate (SEC, GIS, AFS) across all entities to maintain perfect "Good Standing."
Strategic Execution: Supporting complex restructuring (e.g., Solar projects/land transfers) and providing due diligence for financing and JV partnerships.)
Leadership: Mentoring junior staff and acting as a bridge between internal leadership team and external partners.
Ideal Candidate A legal professional who excels in narrative drafting (moving beyond bulleted lists) and possesses the organizational stamina to manage nearly 80 corporate personalities and calendars simultaneously.
Pre-requisites:
University graduate of any course
Preferably with five (5) years’ or more experience in corporate secretarial and/or legal work
Candidate must have excellent organizational skills and pays attention to details
Proficient in MS Office
Good English writing skills
Legal background would be an advantage, but not a must
Desired traits: positive attitude, willingness to learn, takes initiative
