As a Corporate Paralegal, you will play an integral role in Hagerty Marketplace and Broad Arrow’s legal and compliance operations. Under the guidance of Senior Counsel, the Corporate Paralegal provides finance, commercial contracts, licensing, corporate formation and governance, and general legal and administrative support to members of the Hagerty and Broad Arrow legal and administrative departments. What you’ll do
- Transaction support for Broad Arrow Capital finance team’s loan portfolio – this will include:
- Review credit committee documents to understand deal structure.
- Prepare and maintain deal checklists using template checklist.
- Conduct due diligence, including review of corporate records, borrower and guarantor KYC and litigation searches.
- Draft and negotiate finance agreements using template documentation (including finance agreements, hire purchase agreements, bills of sale, resolutions, board minutes, consents, certificates).
- Coordinate signatures internally and with borrowers/guarantors using Docusign and Adobe sign software.
- Contract management of electronic folders for loan portfolio ensuring proper filing, execution and storage.
- File, amend and terminate UCC and PPSA (Canadian) filings.
- Work with title clerk colleagues on lien placements and removals from vehicle titles.
- Assist with servicing third party funding sources – this will include:
- Regular review and maintenance of eVault program and software.
- Keep track of updates to required loan files and sending updates to bank on a weekly basis using different software platforms.
- Review monthly bank reporting and reconcile with internal spreadsheets to ensure consistency.
- Manage the filing and maintenance of Broad Arrow Group, Inc. and its subsidiaries’ licensing and permits portfolio, including tracking expiration and renewal dates for existing licenses, applying for new licenses and permits, registering applicable license and permit renewals prior to expiration and support for registration of new license and permit requests with all applicable regulatory agencies.
- Ensure that all relevant corporate governance documents are filed and registered with the appropriate state and country authorities.
- Occasional legal research related to corporate finance, lending and licensing laws to assist in drafting and revising documents and strategies.
- Support litigation and disputes management including drafting release agreements.
- Provide employment-related legal support including but not limited to immigration and personnel matters, regulatory updates and research, and execution of employment and independent contractor-related agreements.
- Assist with the drafting and execution of various contracts and updating templates for live auctions, online auctions and private sales (both US and internationally);
- Perform administrative tasks such as scheduling, document preparation, and meeting facilitation.
- Resolve other legal and administrative matters, as necessary.
This might describe you
- Paralegal certificate or bachelor’s degree with proven experience in the legal field.
- Experience working on an in-house legal team.
- Experience conducting online legal research (Westlaw or LexisNexis).
- Prior experience working remotely full-time.
- Extremely organized with a strong sense of priority, urgency and dedication to accuracy and deadlines.
- Must be proactive with a high degree of initiative and organizational skills.
- Able to work accurately and effectively in a highly confidential, detail- and results-oriented environment.
- Exceptional writing skills.
- Excellent interpersonal, customer service and communication skills, a commitment to professionalism, integrity and collegiality.

- This position can be worked as remote position within the United States.
- Familiarity with public company requirements, including Sarbanes Oxley and key regulations, if applicable. For SOX compliant roles, responsible for designing, executing, and documenting internal controls where they have been identified as owners to prevent errors in financial reporting, processes, and business operations. Including attestation to the completeness, accuracy, and compliance of all financial reporting data, where applicable.
