We are seeking a highly organized and detail-oriented Paralegal to support the Legal and business teams of a U.S. renewable energy company. The successful candidate will provide legal and administrative support across renewable energy project development, commercial contracts, corporate governance, real estate, regulatory matters, and legal operations.
The role will work closely with attorneys, project development teams, finance, operations, external counsel, and other internal stakeholders to ensure legal documentation, corporate records, contracts, and legal processes are accurately maintained and completed on time.
Key Responsibilities
- Provide day-to-day paralegal and legal administrative support to the Legal team and business stakeholders.
- Support attorneys with legal matters relating to solar, wind, battery storage, and other renewable energy projects.
- Draft, review, coordinate, and maintain Non-Disclosure Agreements (NDAs) and other commercial and legal documents.
- Assist with the preparation, review, execution, and administration of commercial agreements, including:
- Power Purchase Agreements (PPAs)
- EPC agreements
- Operations and Maintenance (O&M) agreements
- Development agreements
- Vendor and service agreements
- Consulting agreements
- Assignment agreements
- Confidentiality agreements and NDAs
- Support corporate governance activities, including maintaining corporate records, preparing board and member resolutions and consents, maintaining entity information, and assisting with annual reports and corporate filings.
- Maintain corporate books, organizational documents, certificates, powers of attorney, and other entity records.
- Assist with entity formations, mergers, dissolutions, registrations, and other corporate transactions as required.
- Support renewable energy project real estate matters, including leases, easements, options, purchase agreements, title documents, and property records.
- Assist attorneys and project teams with legal and commercial due diligence, including organizing and reviewing project documentation.
- Maintain legal trackers, contract databases, corporate records, closing checklists, and electronic document-management systems.
- Coordinate document execution, signatures, notarizations, filings, and other closing requirements with internal teams, counterparties, government agencies, and outside counsel.
- Monitor contract expiration dates, renewal dates, notice periods, filing deadlines, and other legal obligations.
- Assist with permitting, regulatory, interconnection, and other documentation associated with renewable energy projects.
- Conduct legal and business research and assist attorneys with preparation of legal documents, correspondence, and reports.
- Support litigation, claims, insurance, and dispute-related matters when required.
- Assist with transaction closings, including preparing signature packages, closing checklists, and electronic closing files.
- Process and coordinate legal invoices, including reviewing invoices for accuracy, confirming appropriate matter/project coding, obtaining internal approvals, tracking payments, and coordinating with the Finance and Legal teams.
- Assist with outside counsel management, including law-firm onboarding, engagement letters, matter-opening documentation, invoice review, and maintaining outside-counsel records.
- Assist with legal budget tracking and reporting and maintain accurate records of legal expenditures.
- Maintain confidentiality of sensitive legal, corporate, financial, commercial, and project information.
- Perform other legal, corporate, project, and administrative duties as assigned.
Requirements
- Paralegal Certificate
- Bachelor’s degree in Legal Studies, Business, Paralegal Studies, or a related field preferred.
- 2–5 years of paralegal or legal-support experience, preferably within renewable energy, energy, infrastructure, real estate, corporate, or commercial law.
- Demonstrated experience supporting contracts, NDAs, corporate records, and legal documentation.
- Experience with corporate governance and entity management.
- Experience reviewing and processing legal invoices and coordinating with Finance and/or Accounts Payable teams.
- Strong knowledge of Microsoft Office, particularly Word and Excel.
- Experience with electronic document-management and/or contract-management systems.
- Strong organizational skills and exceptional attention to detail.
- Ability to manage multiple matters, deadlines, and priorities simultaneously.
- Excellent written and verbal communication skills.
- Ability to handle confidential and sensitive information professionally.
- Ability to work effectively with attorneys, business teams, external counsel, vendors, and other stakeholders.
