Primary Purpose
Delivers high‑complexity paralegal outputs requiring advanced technical, procedural, and subject‑matter expertise. Ensures consistency and accuracy across intricate filings, transaction packages, and trial preparations without supervising other employees.
Duties and Responsibilities
- Identifies underlying issues in areas of expertise and works independently on complex assignments, including client inquiries, transactions, projects, and/or proceedings, and produces concise written materials for clients, attorneys, or outside counsel without direct supervision.
- Prepares drafts of corporate resolutions, meeting minutes, and other corporate governance-related deliverables, and coordinates related corporate records and documentation.
- Prepares, submits, and follows up on corporate filings, including entity formations with Secretary of State offices, apostilles, notarizations, and process agent appointments.
- Leads special projects and information management initiatives focused on improving the organization, accessibility, retention, accuracy, security, migration, cleanup, and standardization of legal and corporate data, documents, and records across systems.
- Conducts comprehensive reviews of matters and undertakes all pre-action steps as well as post-litigation procedures.

- Reviews communications, reviews procedures, drafts documents, provides research and background information to legal leads.
- Undertakes legal research for cases of a complex nature and conducts fact-gathering interviews with clients or witnesses.
- Manages, maintains, and updates tracker for legal budget and reviews outside counsel bills for compliance with billing guidelines.
- Advises business partners on legal matters and escalates issues to other departments.
- Participates in court or hearings in support of attorneys.
- Performs other duties as assigned.
Preferred Qualifications
Education
- Typically requires a 4 year degree in a relevant field, or equivalent combination of relevant education and experience.
- Bachelor’s degree from an accredited college or university; paralegal certificate from an ABA-approved (or equivalent) program preferred
Experience
- Requires 8 years of related experience.
Preferred: Experience in a corporate legal department or large law firm supporting complex corporate and transactional matters. Experience managing legal documentation, contract processes, and information management systems in fast-paced, high-volume environments.

- Ability to evaluate and improve existing legal processes or documentation practices.
- Ability to independently resolve complex procedural or research challenges.
- Ability to influence outcomes through well-reasoned legal analysis and recommendations.
- Knowledge of risk implications related to legal filings, deadlines, or regulatory compliance.
- Skill in collaborating with attorneys to develop legal strategies or case approaches.

- Specialized knowledge of advanced legal concepts, regulations, or jurisdictional requirements.
Skills Required
