DESCRIPTION:
Duties: Provide expertise in the area of Mergers & Acquisitions (M&A) to the firm's clients, including responsibility for the execution of M&A assignments from engagement to completion for public and private clients across multiple industries, including but not limited to Diversified Industrials, Transportation, Business Services, Chemicals and Aerospace & Defense sectors. Serve as a senior deal team member in advising on buy-side, sellside, merger combination, activism, defense and shareholder engagement assignments, working closely with Chairmen, Vice Chairmen, Managing Directors and Executive Directors within the firm as well as other stakeholders. Work with junior team members on the development, review and presentation of financial analyses to clients, including but not limited to client and counterparty valuation analyses, and transaction financial impact analyses. Work with team members to drive transaction process management. Work with team members to investigate, evaluate, and analyze transaction structures along with examining the feasibility of transactions for clients. Advise clients on all business/financial aspects of transaction negotiations with counterparties leading to definitive transaction agreements. Develop long-term external client relationships, contributing to the firm's origination effort in partnership with industry coverage groups and anticipate new business opportunities. This position requires 25% domestic/international travel to client sites and other JPMC offices to meet with clients, as well as attend trainings and meetings.
QUALIFICATIONS:
Minimum education and experience required: Bachelor's degree in Economics, Finance, Business Administration, or related field of study plus 7 years of experience in the job offered or as Origination/Client Manager, Investment Banker, Investment Research Manager, Junior Analyst, or related occupation. The employer will alternatively accept a Master's degree in Economics, Finance, Business Administration, or related field of study plus 5 years of experience in the job offered or as Origination/Client Manager, Investment Banker, Investment Research Manager, Junior Analyst, or related occupation.
Skills Required: This position requires five (5) years of experience with the following: conducting financial modeling and analyses pertaining to both U.S. and cross-border M&A including building detailed financial operating models, 3-statement combination and divestiture models, discounted cash flow valuations, present value of future stock prices, precedent transactions, trading comparables, LBO analyses, intrinsic and market-based value creation analysis and accretion and dilution analyses; M&A transactions including acquisition and sale of both U.S. and non U.S. private and public companies; Divestiture of a division, spin-off, Reverse Morris Trusts; Financial restructuring transactions including representing sellers and buyers in section 363 sales processes under the U.S. bankruptcy code; Transactions involving private equity funds with both cash and stock consideration; Fairness opinion analyses procedures and drafting proxy disclosures for clients; U.S. or cross-border M&A transactions in an investment bank; Corporate Defense assignments against Activist Investors; Financial statement analysis, due diligence for buy-side and sell-side M&A transactions including distressed M&A, negotiating with stakeholders including creditors of distressed businesses, and transaction structuring; preparing materials for client discussions pertaining to overview of company situations or financial analyses with Microsoft Excel, Microsoft Word, and Microsoft PowerPoint; FactSet.
Job Location: 270 Park Ave, New York, NY 10017. This position requires 25% domestic/international travel to client sites and other JPMC offices to meet with clients, as well as attend trainings and meetings.
Full-Time. Salary: $285,000 - $285,000 per year.
